Additional Parts. All parts incorporated or installed in or attached or added to the Airframe or an Engine (other than passenger service items leased to or owned by the Company including, without limitation, telephone or video equipment, which such passenger service items shall not be considered "Parts") as the result of a Modification (the "Additional Part" or "Additional Parts") shall, without further act, become the property of the Company and subject to this Security Agreement. Notwithstanding the foregoing, the Company may, at any time, so long as no Event of Default shall have occurred and be continuing, remove or suffer to be removed any Additional Part, provided that such Additional Part (x) (i) is in addition to, and not in replacement of or substitution for, any Part originally incorporated or installed in or attached to the Airframe or any Engine at the time of delivery thereof hereunder or any Part in replacement of or substitution for any such Part and (ii) can be removed from the Airframe or such Engine without impairing the airworthiness of the Airframe or such Engine or diminishing the value, utility or remaining useful life of the Airframe or such Engine which the Airframe or such Engine would have had at such time had such alteration, modification or addition not occurred or (y) such Part is an Obsolete Part. Upon the removal thereof as provided above, such Additional Parts shall no longer be deemed part of the Airframe or the Engine from which it was removed.

Additional Parts. At any time after the Lessee has notified the Lessor that it has determined not to renew this Lease pursuant to Article XVIII or purchase the Equipment pursuant to Articl XI or XIX, or the Equipment is otherwise to be returned to the Lessor, the Lessee Parties shall at the Lessor=s request, advise the Lessor of the nature and condition of all Severable Modifications owned by the Lessee Parties pursuant to Section 6.4(b)(ii) hereof which the Lessee Parties have removed or intend to remove from the Equipment in accordance with Section 6.4(e) hereof. The Lessee Parties may elect t retain any Severable Modification not purchased or purchasable by Less pursuant to the last paragraph of Section 6.4(b). The Lessee Parties may (and shall, if so directed by Lessor), at their sole cost, expense and risk, remove from any Item any other Severable Modification which not owned by the Lessor in accordance with the provisions of Section 6.4(b)(ii) hereof and which is not purchased by the Lessor pursuant to this Section 9.5; provided, that any such Modification not removed pursuant to this Section 9.5 shall be deemed to be part of the Item to which it relates for all purposes hereof and title to such Modificatio shall thereupon vest in the Lessor free and clear of all Liens, other than Lessor Liens and Owner Participant Liens.
Additional Parts. Purchaser shall have the right to purchase from Supplier additional parts for service requirements at a negotiated price until such time as Purchaser has authorized tool disposition.
Additional Parts all additional and spare components supplied in connection with the Rental Devices, including but not limited to, power supplies, sub-assemblies and peripherals. Approved Vendor: the manufacturer or a third party who has been approved by the manufacturer of the Devices to perform repairs and/or adjustments to Devices to restore the Device to the original OEM quality or standard as approved by such manufacturer or third party. Approved Warranty: the warranty provided by the manufacturer as set out in the Statement of Work (as applicable).
Additional Parts. In addition to the provisions and product requirements laid out in this contract and tender, the Supplier is bound to at request provide and deliver spare parts for: • Transmitter 15 years ( Annex A and X ) • Headend 7 years ( Annex B and Y) • Monitor 5 years (Annex C and Z) for all parts above starting from the day signing this contract. Additional spare parts to the above mentioned, shall be delivered within 6(six) month from the day the contracting authority submits an order during the above given number of years.

  • Additional Parties The Lending Agent agrees that additional Clients may be added as parties to this Agreement from time to time upon written notice to the Lending Agent and upon written consent of the Lending Agent to the addition of any such additional Client.

  • Additional Partners (a) Effective on the first day of any month (or on such other date as shall be determined by the General Partner in its sole discretion), the General Partner shall have the right to admit one or more additional or substitute persons into the Partnership as Limited Partners or Special Partners. Each such person shall make the representations and certifications with respect to itself set forth in Section 3.6 and Section 3.7. If Blackstone or another or subsequent holder of an Investor Note approved by the General Partner for purposes of this Section 6.1(a) shall foreclose upon a Limited Partner’s Investor Note issued to finance such Limited Partner’s purchase of his or her Capital Commitment Interests, Blackstone or such other or subsequent holder shall succeed to such Limited Partner’s Capital Commitment Interests and shall be deemed to have become a Limited Partner to such extent. Any additional Partner may have a GP-Related Partner Interest or a Capital Commitment Partner Interest, without having the other such interest.

  • Additional Parties; Joinder Subject to the prior written consent of each Controlling Holder, the Corporation may make any Person who acquires Class A Common Stock or rights to acquire Class A Common Stock from the Corporation after the date hereof (including without limitation any Person who acquires Common Units) a party to this Agreement (each such Person, an “Additional Investor”) and to succeed to all of the rights and obligations of a Holder under this Agreement by obtaining an executed joinder to this Agreement from such Additional Investor in the form of Exhibit A attached hereto (a “Joinder”).   • Additional Equipment Additional Equipment may from time to time be added as the subject matter of this Agreement as agreed on by the parties. Any additional property will be added in an amendment describing the property, the monthly rental, security deposit, and stipulated loss value of the additional Equipment. All amendments must be in writing and signed by both parties. Other than by this amendment procedure, this Agreement may not be amended, modified, or altered in any manner except in writing signed by both parties.

The prices for any Parts purchased in the first two (2) years of the twenty-year period shall not exceed those prices in effect at the time production of the goods ceases, and no set up charges shall be permitted by Supplier or paid by Xxxxx during this two-year period. Thereafter, the prices for Parts shall be negotiated based on Supplier’s actual cost of production of such Parts plus any special packaging costs. No minimum order requirements shall apply unless the parties mutually agree in advance. After the end of the twenty-year period, Supplier shall continue to maintain in good working condition all Supplier-owned tooling required to produce the Parts and shall not dispose of such tooling without offering Buyer the right of first refusal to purchase such tooling.

  • Additional Facilities If the CAISO determines that it requires Operational Control over additional transmission lines and associated facilities not then constituting part of the CAISO Controlled Grid in order to fulfill its responsibilities in relation to the CAISO Controlled Grid then the CAISO shall apply to FERC pursuant to Section 203 of the Federal Power Act, and shall make all other regulatory filings necessary to obtain approval for such change of control and shall serve a copy of all such applications on the affected Participating TO and the owner of such lines and facilities (if other than the Participating TO). In the event that a Party invokes the dispute resolution provisions identified in Section 15 with respect to the transfer of Operational Control over a facility, such facility shall not be transferred while the dispute resolution process is pending except pursuant to Section 4.5.2.

All Additional Property and all certificates or other written instruments or documents evidencing and/or representing the Additional Property that is received by Pledgor, together with such instruments of transfer as Secured Party may request, shall immediately be delivered to or deposited with Secured Party and held by Secured Party as Collateral under the terms of this Agreement. If the Additional Property received by Pledgor shall be shares of stock or other securities, such shares of stock or other securities shall be duly endorsed in blank or accompanied by proper instruments of transfer and assignment duly executed in blank with, if requested by Secured Party, signatures guaranteed by a member or member organization in good standing of an authorized Securities Transfer Agents Medallion Program, all in form and substance satisfactory to Secured Party.
