Access for Audit Purposes. The Access Party will give to the Commonwealth, or to any persons authorised in writing by the Commonwealth’s, access to premises occupied by the Access Party and permit those persons to participate in audits, inspect and take copies of any Material relevant to this Deed. The rights referred to in clause 12.1.1 are subject to: the provision of reasonable prior notice by the Commonwealth; the Access Party’s reasonable security procedures; if appropriate, execution of a deed of confidentiality relating to non-disclosure of the Access Party’s Confidential Information; and the Commonwealth not unreasonably interfering with the Access Party’s performance under this Deed in any material respect. Without in any way affecting the statutory powers of the Auditor-General under the Auditor-General Xxx 0000 (Cth) and subject to the provisions of that Act, the Auditor-General is a person authorised for the purposes of this clause. This clause applies for the Term of this Deed and for a period of 7 years from the date of termination of this Deed.

Access for Audit Purposes. ‌ The Parties, the Comptroller General of the United States, any state or federal funding agency or any of their duly authorized representatives may, for the purpose of audit and examination, have access to and be permitted to inspect each other's books, records, documents, and other evidence for inspection, audit, and copying, in accordance with Washington State record retention requirements. The Parties will also have access to each other's books, records, and documents during the performance of work, if deemed necessary, by each other to verify the work and invoices, to assist in negotiations for additional work, and to resolve claims and disputes. Audits conducted under this Section must be in accordance with Generally Accepted Auditing Standards (GAAS) and established procedures and guidelines of the reviewing or audit agency. The Parties agree to the disclosure of all information and reports resulting from access to records under this Section provided that the other Party is afforded the opportunity for an audit exit conference and an opportunity to comment and submit any supporting documentation on the pertinent portions of the draft audit report and that the final audit report will include written comments of reasonable length, if any, of the Parties.
Access for Audit Purposes. 14.1 The Consultant shall assist representatives of HEHOC or Members of HEHOC with any audit process or investigation by allowing them unrestricted access to any records provided reasonable notice is served e.g. documentation, files, statements, literature data or any other similar material, in whatever form relating to the carrying out of the Services, including access to any premises in which such material is stored, processed or otherwise kept. Prior to disclosure, Sound Transit will provide Xxxxxx Transit the opportunity for an audit exit conference, an opportunity to comment, and to submit any supporting documentation on the pertinent portions of any draft report. The final audit report will include written comments of reasonable length, if any, of Xxxxxx Transit.

If an audit is performed, the County will be afforded the opportunity for an audit exit conference and an opportunity to comment and submit any supporting documentation on the pertinent portions of any draft audit report and any final audit report will include written comments of reasonable length, if any, of the County.

Sound Transit shall also have access to such books, records, and documents during the performance of the work if deemed necessary by Sound Transit to verify City work and invoices, to assist in negotiations for additional work, and to resolve claims and disputes. Sound Transit will give five working daysnotice to the City for access to original records. Audits conducted under this Section shall be in accordance with generally accepted auditing standards and established procedures and guidelines of the reviewing or audit agency(ies).
