Performance Vested RSUs definition

Performance Vested RSUs means the product of (i) the total number of RSUs granted hereby, and (ii) the applicable Performance Vesting Percentage.
Performance Vested RSUs means (i) the Absolute TSR Vested RSUs, plus (ii) the Relative TSR Vested RSUs.
Performance Vested RSUs will vest based on (i) satisfaction of the performance targets during each applicable three-year performance period, as set forth in Exhibit A, and (ii) the Participant’s continuing Employment throughout such applicable performance period and through the third anniversary of the Grant Date. Of the Participant’s Performance-Vested RSUs, [___]% will be subject to a “[________________]” performance target and [___]% will be subject to a “[________________]” performance target, as provided in Exhibit A.   • Earned EPS Performance- Vested RSUs would continue to vest per their normal vesting schedule (i.e., the anniversary of grant date).

  • The award agreement relating to the Performance Vested RSUs is attached hereto as Exhibit A.

  • As soon as reasonably practicable (but in no event more than forty- five (45) days) following the completion of the Performance Period, the Committee shall determine the Company TSR Percentage, the Index TSR Percentages, the Index Relative Performance, the Relative TSR Performance Vesting Percentage and the number of RSUs granted hereby that have become Performance Vested RSUs, in each case as of the completion of the Performance Period.

  • Notwithstanding subsection (a) above, if you incur a Termination of Employment during the Restricted Period as a result of your death or Disability (as defined in your Letter Agreement), the Performance Vested RSUs will vest in full as of such Termination of Employment.

  • Any RSUs granted hereby which do not satisfy the requirements to become Performance Vested RSUs as of the completion of the Performance Period will automatically be cancelled and forfeited without payment of any consideration therefor, and the Participant shall have no further right to or interest in such RSUs.

Performance Vested RSUs means (i) the AFFO Vested RSUs, plus (ii) the Same- Property NOI Growth Vested RSUs. Related to Performance Vested RSUs

  • Performance Shares means Shares or an Award denominated in Shares which may be earned in whole or in part upon attainment of performance criteria established by the Administrator.

  • Performance Share Units means Performance Share Units granted to an Eligible Individual under Section 9.1(b).

  • Performance Stock means a Target Number of Shares granted pursuant to Section 10(a) of the Plan.

  • Performance Stock Award means a Stock Award granted under the terms and conditions of Section 6(c)(i).

  • Performance Stock Unit means a right granted to a Participant pursuant to Section 8.2, to receive Stock, the payment of which is contingent upon achieving certain Performance Goals or other performance-based targets established by the Committee.

  • Performance Share Unit or “PSU” means a unit equivalent in value to a Share, credited by means of a bookkeeping entry in the books of the Corporation in accordance with Article 6;

  • Qualified Performance-Based Award means an Award intended to qualify for the Section 162(m) Exemption, as provided in Section 11.

  • Vesting Date has the meaning set forth in Section 3.10(c)(ii).

  • Performance-Based Awards means the Performance Share Awards and Restricted Stock Awards granted to selected Covered Employees pursuant to Articles 9 and 10, but which are subject to the terms and conditions set forth in Article 11. All Performance-Based Awards are intended to qualify as "performance-based compensation" under Section 162(m) of the Code.
