Examples of Performance-Based Award in a sentence
If the Administrator, in its discretion, decides to grant an Award as a Qualified Performance-Based Award, the provisions of this Section 10 will control over any contrary provision contained in the Plan.
In the course of granting any Award, the Administrator may specifically designate the Award as intended to qualify as a Qualified Performance-Based Award.
The maximum Qualified Performance-Based Award payment to any one Participant under the Plan is five percent of the number of shares of Stock set forth in Section 3, or if the Qualified Performance-Based Award is paid in cash, that number of shares multiplied by the Market Value of the Stock as of the date the Qualified Performance-Based Award is granted.
Options may be granted as Qualified Performance-Based Awards in accordance with Section 7, except that the Exercise Price of any Option intended to qualify as a Qualified Performance-Based Award shall in no event be less that the Market Value of the Stock on the date of grant.
A Participant will be eligible to receive payment under a Qualified Performance-Based Award which is subject to achievement of a Performance Goal or Goals only if the applicable Performance Goal or Goals are achieved, as determined by the Administrator.
