Qualified Performance-Based Award definition

Qualified Performance-Based Award means an Award intended to qualify for the Section 162(m) Exemption, as provided in Section 11.
Qualified Performance-Based Award means an Award that is either (i) intended to qualify for the Section 162(m) Exemption and is made subject to performance goals based on Qualified Business Criteria as set forth in Section 11.2, or (ii) an Option or SAR having an exercise price equal to or greater than the Fair Market Value of the underlying Stock as of the Grant Date.
Qualified Performance-Based Award means any Award or portion of an Award that is intended to satisfy the requirements forqualified performance-based compensation” under Section 162(m) of the Code.

Examples of Qualified Performance-Based Award in a sentence

  • If the Administrator, in its discretion, decides to grant an Award as a Qualified Performance-Based Award, the provisions of this Section 10 will control over any contrary provision contained in the Plan.

  • In the course of granting any Award, the Administrator may specifically designate the Award as intended to qualify as a Qualified Performance-Based Award.

More Definitions of Qualified Performance-Based Award

Qualified Performance-Based Award means an Award of Restricted Stock designated as such by the Committee at the time of grant, based upon a determination that (i) the recipient is or may be a "covered employee" within the meaning of Section 162(m)(3) of the Code in the year in which the Company would expect to be able to claim a tax deduction with respect to such Restricted Stock and (ii) the Committee wishes such Award to qualify for the Section 162(m) Exemption.
