Invention Ideas means any and all ideas, processes, trademarks, service marks, inventions, technology, computer programs, original works of authorship, designs, formulas, discoveries, patents, copyrights, and all improvements, rights, and claims related to the foregoing that are conceived, developed, or reduced to practice by the Consultant alone or with others except to the extent that applicable Florida laws, codes and statutes lawfully prohibits the assignment of rights in such ideas, processes, inventions, etc. State of Florida statutes provide for; Any provision in an employment agreement which provides that an employee shall assign, or offer to assign, any of his or her rights in an invention to his or her employer shall not apply to an invention that the employee developed entirely on his or her own time without using the employer's equipment, supplies, facilities, or trade secret information except for those inventions that either:
Invention Ideas means all ideas, processes, inventions, technology, programs, original works of authorship, designs, formulas, discoveries, patents, copyrights, trademarks, and service marks, and all improvements, rights, and claims related to the foregoing, that are conceived, developed, or reduced to practice by me alone or with others during the period of my employment with the Company, except for (1) Invention Ideas excluded in Schedule A, (2) Invention Ideas that I develop entirely on my own time without the Company’s equipment, supplies, facilities or trade secret information except for those Invention Ideas that either relate at the time of conception or reduction to practice of the Invention Idea to the Company’s business or actual or demonstrably anticipated research or development or result from any work performed by me for the Company, and (3) to the extent that any law applicable to my employment lawfully prohibits the assignment.
Invention Ideas means any and all ideas, processes, trademarks, service marks, inventions, technology, computer programs, original works of authorship, designs, formulas, discoveries, patents, copyrights, and all improvements, rights, and claims related to the foregoing that are conceived, developed, or reduced to practice by the Consultant alone or with others solely in the course of providing the consulting services set forth on Schedule A to the Company.

More Definitions of Invention Ideas

Invention Ideas means any and all ideas, processes, trademarks, service marks, inventions, technology, computer programs, original works of authorship, writings, designs, formulas, discoveries, patents, copyrights, navigation, functionality, web site design, and all improvements, rights, business concepts, and claims related to the foregoing that are conceived, developed, or reduced to practice, relating to any activities of the Company that have been or will be conceived or developed by me alone or with others (a) during the term of my employment, including, without limitation, my employment by Employer prior to the date hereof, whether or not conceived or developed during regular business hours, and whether or not conceived before, on or after the date hereof or (b) if based on Proprietary Information, after termination of my employment.
Invention Ideas has the meaning set forth in Section 9.01(b).
Invention Ideas means any and all ideas, processes, trademarks, service marks, inventions, technology, computer programs, original works of authorship, designs, formulas, discoveries, patents, copyrights, and all improvements, rights, and claims related to the foregoing that are conceived, developed, or reduced to practice by such Member alone or with others that relate at the time of conception or reduction to practice of the Invention Idea to the Company’s business, or actual or demonstrably anticipated research or development of the Company. Each Member agrees that all Invention Ideas shall be considered “work made for hire” (as such term is defined in 17 U.S.101) and shall be the sole and exclusive property of the Company and each Member agrees to assign to the Company, without further consideration, such Member’s entire right, title, and interest (throughout the United States and in all foreign countries), free and clear of all liens and encumbrances, in and to each Invention Idea, which shall be the sole property of the Company. Each Member will assist the Company (at its expense) in obtaining letters patent or other applicable registrations on such Invention Ideas and will execute all documents and do all other things (including testifying at the Company’s expense), as may be reasonably required to obtain letters patent or other applicable registrations thereon.
Invention Ideas means any and all ideas, processes, trademarks, service marks, inventions, discoveries, patents, copyrights, and improvements to the foregoing that are conceived, developed, or crated by the Executive alone or with others during his Period of Employment (whether or not conceived, developed, or created during regular working hours) and that: (i) fall within the existing or contemplated business of the Bank or any Affiliated Company; (ii) result from work done by the Executive for or at the request of the Bank or any Affiliated Company; or (iii) result from the Executive's use of or access to any Proprietary Information or any equipment, supplies, facilities, memoranda, data, customer lists, processes or the like of the Bank or any Affiliated Company.
Invention Ideas as used in this Agreement shall mean any and all ideas, processes, trademarks, service marks, inventions, discoveries, patents, copyrights and improvements to the foregoing that are conceived, developed or created by me alone or with others during my employment with the Company -- whether or not conceived, developed or created during regular work hours -- and that: (a) fall within the existing or contemplated business of the Company or any affiliate of it that might be formed; (b) relate to actual or demonstrably anticipated research or development of the Company (or any affiliate of it that might be formed); (c) result from work done by me for or at the request of the Company (or any affiliate of it that might be formed); or (d) result from my use of or access to any Proprietary Information or any equipment, supplies, facilities, memoranda, data, customer lists, processes or the like of the Company (or any affiliate of it that might be formed).

I further agree to promptly disclose to the Company any idea that I do not believe to be an invention, but which is conceived, developed, or reduced to practice by me (alone or with others) while I am employed by the Company or during the one-year period following the termination of my employment. I will disclose the idea, along with all information and records pertaining to the idea, and the Company will examine the disclosure in confidence to determine if in fact it is an Invention Idea subject to this Agreement.
