Exclusive Property of the Company. The Executive understands and agrees that all Inventions, or patents, trademarks, copyrights trade secrets or any other rights relating to any of the foregoing, which have or may have a material importance to the business of the Company and which are conceived or made by the Executive during the Executive's employment by the Company, either alone or with others, are the sole and exclusive property of the Company and/or Met International, Inc. and/or any Affiliate of the Company or Met International, Inc., whether or not they are conceived or made during the Executive working time for the Company, except to the extent generally known or knowable by the general public or persons generally knowledgeable in the radio broadcasting field.

Exclusive Property of the Company. The Executive acknowledges that the Confidential Information associated with the Company, its Affiliates, or the Business as conducted by the Company and its Affiliates and either obtained by Executive while employed by the Company concerning the Business and/or prior to the execution of this Agreement as a result of the Executive’s performance of services for the Company and its Affiliates are the property of the Company.
Exclusive Property of the Company. Executive agrees that all Works of Authorship, as defined below, that Executive makes, conceives, reduces to practice or authors, either alone or with others, during employment with the Company will be the Company sole and exclusive property. Executive will, with respect to any such Work of Authorship: (i) keep current, accurate, and complete records, which will belong to the Company and be kept and stored on the Company premises while Executive is employed by the Company; (ii) promptly and fully disclose the existence and describe the nature of the Work of Authorship to the Company in writing without request; (iii) assign, and Executive does hereby assign, to the Company all of Executive’s rights to the Works of Authorship, any applications Executive makes for patents or copyrights in any country, and any patents or copyrights granted to Executive in any country; and (iv) acknowledge and deliver promptly to the Company any written instruments, and perform any other acts necessary in the Company opinion to preserve property rights in the Work of Authorship against forfeiture, abandonment, or loss and to obtain and maintain letters patent and/or copyrights on the Work of Authorship and to vest the entire right and title to the Work of Authorship in the Company.
Exclusive Property of the Company. Any new technology, knowledge or information developed by the Employee related to the business of the Company during the term of this Agreement shall be the exclusive property of the Company to the extent that such technology, knowledge or information is owned by the Employee, and to the extent that such is developed in the course of the provision of services by the Employee pursuant to this Agreement.
Exclusive Property of the Company. Confidential Information shall remain the sole and exclusive property of the Employer. The Employee shall make no commercial use whatsoever, in whole or in part, of the Confidential Information, shall not use the Confidential Information to establish or operate or assist anyone in the establishment or operation of a business, product or service similar or in competition, directly or indirectly, with the business of the Employer anywhere in the world. Further, the Employee shall not mechanically copy or otherwise reproduce the Confidential Information. Nothing herein shall be construed as to grant the Employee any right or license under any patent, copyright, trademark or any other right relating to the Confidential Information. Each party understands and agrees that any and all contracts prepared by the other party hereto (not including the form of this Agreement) are protected by copyright and/or by this Agreement and the Employee may not copy or use in any manner, all or any portion of, such contracts for any purpose other than in connection with the Employment.

To the extent such works, work product or Company Intellectual Property are not considered “works made for hire,” all right, title, and interest to such works, work product and Company Intellectual Property, including, but not limited to, all copyrights, patents, trademarks, rights of publicity, and trade secrets, is hereby assigned to the Company and the Executive agrees, at the Company’s expense, to execute any documents requested by the Company or any of its affiliates at any time in relation to such assignment. The Executive acknowledges and agrees that the Company is and will be the sole and absolute owner of all trademarks, service marks, domain names, patents, copyrights, trade dress, trade secrets, business names, rights of publicity, inventions, proprietary know-how and information of any type, whether or not in writing, and all other intellectual property used by the Company or held for use in the business of the Company, including all Company Intellectual Property. The Executive further acknowledges and agrees that any and all derivative works, developments, or improvements based on intellectual property, materials and assets subject to this Section 6 created during the Employment Term (including, without limitation, Company Intellectual Property) shall be exclusively owned by the Company. The Executive will cooperate with the Company and any of its affiliates, at no additional cost to such parties (whether during or after the Employment Term), in the confirmation, registration, protection and enforcement of the rights and property of the Company and its affiliates in such intellectual property, materials and assets, including, without limitation, the Company Intellectual Property.

  • Liability of the Company The Company shall be liable in accordance herewith only to the extent of the obligations specifically imposed upon and undertaken by the Company herein.
