Employment by Employer. Employer employs Executive, as of the Effective Date, to render full-time services as Executive Vice President and General Counsel and to serve in such capacity for the benefit of Employer and its subsidiaries. Executive will perform the duties that are consistent with such position as he shall reasonably be directed to perform by Employer.
Employment by Employer. The Employer hereby employs the Employee, and the Employee hereby agrees to be employed by the Employer, as Senior Vice President and Chief Financial Officer of the Employer, and the Employee will devote all of his business time, attention, knowledge and skills and use his best efforts during the Employment Period to perform services and duties consistent with his title and position (the "Services") for the Employer in accordance with directions given to the Employee from time to time by the Board of Directors of the Employer.

Subject to the exceptions provided in this Agreement, Employee agrees to work for Employer full time in the performance of the duties that Employer may assign Employee from time to time. Employee may not engage in any business activities or render any services of a business, commercial, or professional nature, whether or not for compensation, if such activities or services interfere with the performance of Employee's duties for Employer or unless Employer has given its consent in writing. It is the policy of Employer never to allow its personnel to work for any competitive enterprise during their employment, including after hours, on weekends, or during vacation time, even if only organizational assistance or limited consultation is involved.
Employment by Employer. The Employer hereby employs the Employee, and the Employee hereby agrees to be employed by the Employer, as President of the T.O. Haas Xxxision of the Employer (the "Division"), and the Employee will devote all of his business time, attention, knowledge and skills and use his best efforts during the Employment Period to perform services and duties consistent with his title and position (the "Services") for the Employer in accordance with directions given to the Employee from time to time by the Board of Directors of the Employer.

Employer employs Employee, for the Term (as herein defined), to render full-time services to Employer as its Executive Vice President and General Counsel and, in connection therewith, to manage its operations and that of its subsidiaries. Employee will perform the duties that are consistent with such position as he shall reasonably be directed to perform by Employer's Board of Directors.

During the Employee's employment with the Employer, the Employee shall do and perform all services and acts necessary or advisable to fulfill the duties and responsibilities as are consistent with the Employee's position (the "Services") and shall render the Services on the terms set forth herein. During the Employee's employment, the Employee shall report directly to the Chief Executive Officer and/or the Board of Directors of EagleView and the Chief Executive Officer and/or the Board of Directors of the Parent Company or such person(s) as from time to time may be designated by the Employer (hereinafter referred to as the "Reporting Officer").
