Notwithstanding the foregoing, the Period of Employment is subject to earlier termination as provided below in this Agreement.
During the Period of Employment, the Executive shall serve in the position and have the duties and responsibilities as in effect immediately prior to the date of commencement of the Contract Term.
If the Executive voluntarily terminates employment during the Period of Employment other than for Good Reason, the Company shall pay to the Executive the Accrued Obligations and a Pro Rata Bonus and shall have no other severance obligations under this Agreement.
When used in relation to any incentive award or bonus payment “Target” means the target (whether stated as a percentage of base salary or as an amount in U.S. dollars) for the Executive approved by the Compensation and Talent Committee of the Board of Directors of the Company (or the Board of Directors as a whole) in (a) the year immediately preceding a Change in Control or (b) the year during the Period of Employment when such target is established, whichever is greater.
During the Period of Employment, the Executive's principal business office shall be the office address as it existed immediately prior to the date of Commencement of the Contract Term (the “Principal Business Office”).
