Data Room Documentation definition

Data Room Documentation means each of the documents listed in the data room index in the form provided on the date that the draft or document was inserted into the virtual data room administered by, or on behalf of, the Generator (a copy of which data room index has been initialled at the Agreement Date by the Generator and the CfD Counterparty);

Data Room Documentation means all information and documentation contained in a virtual data room managed by Intralinks, Inc. which is recorded on the DVD-ROM and that additionally provided in the document named “Employee Information” enclosed to the deed of deposit.

Data Room Documentation means all documentation contained in the Data Room up to and including the date that is one (1) Business Day prior to the date of this Agreement, a complete list of which documentation is attached to this Agreement as Schedule 14. For purposes of Schedule 8 to this Agreement, the phrase “Except as disclosed in the Data Room Documentation” and phrases of similar meaning shall mean information disclosed fairly and with reasonable specificity in the Data Room Documentation. “Disclosed fairly and with reasonable specificity” shall mean information disclosed in such a manner and in such detail as to enable a reasonable purchaser (which holds an existing minority interest in the Company) to make an informed assessment of the fact, matter or circumstance concerned;

Examples of Data Room Documentation in a sentence

• The Parties deposit one of the three originals of the DVD-ROM containing copies of the Data Room Documentation and execute in the presence of the Notary Public a public deed of deposit, to which the Parties enclose the document named “Employee Information”.

• The Seller has no obligation to indemnify the Buyer with respect to any information in the Data Room Documentation of a forward-looking nature relating to the Company and the Business, including any business plans, budgets or forecasts.

• The Parties have recorded the Data Room Documentation on a DVD-ROM (the “DVD-ROM”) and simultaneously with the execution of this Agreement, are initialing three copies of the DVD-ROM, one to be delivered to the Notary Public at the date hereof in accordance with Clause 7(i).

• The Parties acknowledge and agree that the Data Room Documentation shall not be deemed Disclosed for the purposes of this Agreement except where a specific reference is made in the Seller Warranties to specific documents in the DVD-ROM being Disclosed as an exception to the relevant Seller Warranty.

• None of the contracts in the Data Room Documentation have been terminated by the Company, and the Company has not been notified of the termination of any of the contracts.

More Definitions of Data Room Documentation

Data Room Documentation means all information and materials made available in the Data Room (in electronic copy) or provided in response to requests for information and materials made by a Purchaser or its Representatives to any Relevant Party, in each case at any time up to and including the date of this Agreement.

Data Room Documentation means all documents, material and information of any nature whatsoever disclosed to the Purchaser, its advisors, representatives or employees in (i) the “Raiponce” electronic data room maintained by Xxxxxxx Corporation and made available to the Purchaser and its advisers from November 5, 2015 through April 4, 2016 (a list of the documents made available in such data room is attached as Annex F), and (ii) the answers provided by or on behalf of any of the Sellers or the Company, their advisors, representatives or employees in the context of such data room or during site visits or Q&A sessions, of which (x) one electronic copy has been provided to the Purchaser and (y) one electronic copy has been retained by the Sellers’ Agent;

Data Room Documentation means all information and documentation contained in a virtual data room managed by Intralinks, Inc. which is recorded on the DVD-ROM and that additionally provided in the document named “Employee Information” enclosed to the deed of deposit. “Environmental Laws” means all Laws of any Governmental Entity that relate to the protection of the environment and natural resources (including ambient air, surface water, ground water, land surface or subsurface strata) or the effect of the environment on human health and safety, including Laws or any other binding legal obligation relating to the Release of Hazardous Materials, or

Data Room Documentation has the meaning given in Section 4.6.

Data Room Documentation means the written material that the Buyer has had the opportunity to examine in the Data Room as outlined in the Data Room Index.
