Nothing in this paragraph is intended to permit any Relevant Party to consummate any sale or other Disposition of Property other than as permitted under Section 9.10 or Section 9.11 of this Agreement, and any such sale or Disposition of Property shall be a violation of Section 9.10 and/or Section 9.11, as applicable, and a breach of this Agreement.
All of the outstanding Equity Interests of each Relevant Party and each Subsidiary have been validly issued and have not been issued in violation of any preemptive or similar rights and are fully paid and non-assessable.
