Public Documents definition

Public Documents. As defined in Section 4.02(a) of this Agreement.
Public Documents has the meaning set forth in ‎Section 4.10;
Public Documents shall have the meaning given to it in Section 7.11 hereof.

Examples of Public Documents in a sentence

  • Centuri agrees to provide to Southwest all information that Southwest reasonably requests in connection with any Southwest Public Documents or that, in the judgment of Southwest’s counsel, is required to be disclosed or incorporated by reference therein under applicable Law.

  • As long as Southwest is required to consolidate the results of operations and financial position of Centuri in its financial statements, Centuri will continue to prepare the quarterly and annual financial reporting analysis and provide support for financial statement footnotes and other information included in the Southwest Public Documents.

  • Notwithstanding anything to the contrary in this Section 8.1(h), Centuri and Southwest will consult with each other as to the timing the Centuri Public Documents will be filed with the SEC.

  • Centuri will use its reasonable best efforts to cause the Centuri Auditors to consent to any reference to them as experts in any Southwest Public Documents required under applicable Law.

  • The Memorandum and Articles as most recently filed with the Public Documents is a true and correct copy as in effect as of the date of this Agreement, and the Purchaser is not in material violation of any of the provisions of the Memorandum and Articles.


More Definitions of Public Documents

Public Documents means documents issued by authorities of a Member State and having formal evidentiary value relating to:
Public Documents means the Preliminary Offering Circular and the International Offering Circular for the International Offering, the Prospectus and application forms to be issued in Hong Kong by the Company for the Hong Kong Public Offering and such other documents and announcements which may be issued by the Company in connection with the Global Offering, each as amended or supplemented from time to time;
Public Documents means all reports, schedules, forms, statements and other documents required to be filed or furnished by the Company with the SEC from time to time pursuant to the Securities Act or the Exchange Act, together with all exhibits included therein and financial statements, notes and schedules thereto and documents incorporated by reference thereto.
Public Documents means, collectively, the SEC Documents, the Hong Kong Stock Exchange Documents and the Singapore Exchange Documents;
Public Documents means: (i) the annual information form of ITP dated April 2, 2007; (ii) the audited consolidated financial statements of ITP as at and for the fiscal year ended December 31, 2006 and 2005 and related notes, together with the Management’s Discussion and Analysis pertaining thereto; (iii) the management information circular dated May 25, 2007 prepared in connection with ITP’s annual and special meeting of Shareholders held on June 28, 2007; (iv) the material change reports of ITP dated May 2, 2007 and July 3, 2007; and (v) any other document which is incorporated by reference in the Prospectus;
Public Documents means documents to which the University community (Students and staff) have access.
Public Documents means the Listing Statement and any other document, circular or other information statement (but not, for the avoidance of doubt, any press or news releases, investor presentation slides or similar materials) made publicly available by Parent on SEDAR or the CSE website pursuant to the Canadian Securities Laws and the rules and regulations of the CSE (as may be amended or supplemented from time to time by any information or statement made publicly available by Parent on SEDAR or the CSE) on or after October 26, 2018.
