Data Room. All information and documentation contained in the Data Room, to which Buyer has been provided access, is true and accurate in all material respects and reflects the subject matter to which it relates. The Data Room (i) contains all material information in order to give a true and documentation fair view of the Purchased Assets, the Assumed Liabilities and the Product, (ii) does not include any matter of material importance which is incorrect or misleading, and (iii) does not omit any information which is of material importance, which by omission would make the contents of the Data Room materially incorrect or misleading, except as would not materially adversely affect Buyer’s interest in the Purchased Buyer’s interest in the Purchased Assets or Buyer’s ability to Develop, manufacture or Commercialize any Product.

Data Room. All Data Room Information provided by Tahoe to Pan American was accurate and complete in all material respects as at its respective date as stated therein, or, if any Data Room Information is undated, as of the date of its delivery to the Data Room Information website. Additionally, all information provided to Pan American in relation to Pan American’s due diligence requests, including information not provided in the Data Room Information, is accurate and complete in all material respects as at its respective date as stated therein. There has been no change to the Data Room Information or any other information provided to Pan American since the date posted to the Data Room Information website or provided to Pan American, as the case may be, that is material to Tahoe, except as has been disclosed in the Tahoe Public Disclosure Record or in a more recently posted document in the Data Room Information or other information provided to Pan American.

Data Room. The Seller and the Buyers will cause ▇▇▇▇▇▇▇ Corporation to: (i) within five (5) Business Days following the date hereof, create three (3) copies (in CD format) for each of the Seller and the Buyers of the data contained in the Data Room as it exists on the date hereof and (ii) create three copies (in CD Format) for each of the Seller and the Buyers of the data contained in the Data Room as it exists on the Closing Date. The Seller and the Buyers shall share equally the fees and expenses charged by ▇▇▇▇▇▇▇ Corporation in connection with making and delivering the information required pursuant to this Section 6.15. Seller shall take such actions as are necessary to transfer ownership of the data contained in the Data Room that constitutes Books and Records (as opposed, for example, to the history of Third Party access to such data or other information or rights that do not constitute “Assets” hereunder) to the Buyers.

Data Room. Within ten (10) days of the date hereof, Sellers shall deliver to Purchasers a disk containing copies of all documents contained in the virtual data room maintained by Sellers as of the date hereof in connection with the sale of the Business.

Data Room. As promptly as practicable following the date of this Agreement and in any event within ten (10) Business Days of the date hereof, Seller shall deliver, or shall cause to be delivered, to Buyer an electronic copy of the Data Room as of the execution and delivery of this Agreement.

Seller shall deliver or cause to be delivered, within ten (10) Business Days following the Closing Date, to Buyer, a USB drive or other storage device containing copies of the documents uploaded as of the Closing Date to the Data Room.

Data Room. The parties agree that where there is a conflict between the terms of any access contained in any data room or website which may be made available relating to the Transaction and this agreement, the understandings and agreements contained herein shall prevail with respect to any such conflict.
