Virtual Data Room. As soon as practicable after the date hereof, and in any event no later than fifteen (15) Business Days after the date hereof, the Seller Parties shall have delivered to Purchaser one or more DVDs or CD-ROMs containing each of the documents in the Virtual Data Room as of the time of the execution of this Agreement, provided that thereafter the Seller Parties shall discuss with Purchaser any materials added to the Virtual Data Room after such time and prior to the Closing.
Virtual Data Room. Any reference to a document or matter being “made available to the Purchaser” includes the posting of such document or matter in the “Project Banjo” Intralinks VDRPro virtual data room established by the Seller to which the Purchaser has had access; provided that access to such documents or matters via the virtual data room shall have been granted to the Purchaser at least two (2) days prior to the date of this Agreement.
Virtual Data Room. Within fifteen (15) business days following the Closing Date, Seller shall provide Purchaser with a digital copy of the Virtual Data Room as of the Closing Date.
Virtual Data Room. Any reference to a document or matter being “made available,” “furnished” or “delivered” to the Purchaser includes the posting of such document or matter on the virtual data room established by the Company and its Representatives to which the Purchaser has had access; provided that access to such documents or matters via the virtual data room shall have been granted to the Purchaser at least three (3) days prior to the date of this Agreement.
Virtual Data Room. Seller Parent shall use its commercially reasonable efforts to deliver or cause the delivery of a CD, DVD-ROM or USB drive containing a true, correct and complete copy of the Virtual Data Room on or prior to the Closing Date.
Virtual Data Room. After the Closing, the Seller shall make available to the Purchaser an electronic copy of all of the documents contained in the Virtual Data Room.
Virtual Data Room. From time to time after the date of this Agreement, as and when reasonably requested by the Buyer in connection with the Buyer’s procurement of the R&W Insurance Policy, the Seller shall deliver a true and complete electronic copy of the entire virtual data room (including all contents therein as of the date of the delivery from time to time) maintained by Intralinks with respect to “Project Solera” and related to the Terminals Business and the transactions contemplated by this Agreement; provided that the Seller shall in all events provide such copy to the Buyer as of the Closing Date to the Buyer no later than ten (10) Business Days following the Closing Date.
Virtual Data Room. Any reference to a document or matter being “delivered”, “provided” or “made available” to the Purchaser prior to Closing, but excluding those documents to be delivered by the Vendor at Closing, includes the posting of such document or matter in the Data Room and the specific identification of such document or matter in the index to such Data Room (the “Data Room Index”). A copy of the Data Room Index as it exists as of the date of this Agreement, is attached hereto as Schedule 1.7.
Virtual Data Room. Within three (3) Business Days following the execution of this Agreement and within three (3) Business Days following the Closing Date, Vendor shall deliver to Purchaser an electronic download of the Data Room, which shall reflect all contents of the Data Room as of the date hereof and as of the Closing Date, respectively.
Virtual Data Room. Any reference to a document or matter being “provided to the Buyer”, “delivered to the Buyer” or “made available to the Buyer” and similar phrases and terms shall be deemed to include the posting of such document or matter in the virtual data room established by Seller in connection with the transactions contemplated hereby to which the Buyer and the Parent has had access.
