Use of Licensed Materials. ADVISOR may use HMLA’s trademarks and other promotional materials involving HMLA’s products (collectively, “Licensed Materials”) to the extent reasonably necessary to render the Services. All uses of Licensed Materials shall be in accordance with such reasonable specifications and requirements as HMLA may periodically prescribe in writing. Any proposed use of any Licensed Materials that is essentially the same as, and does not materially differ from, a prior approved use shall be deemed acceptable to HMLA; provided, however, that ADVISOR shall provide HMLA with specimens of such use sufficiently in advance to allow HMLA an effective opportunity to object. Use of Licensed Materials. The Licensed Materials may be used by Authorised Users for the purposes of research, teaching, and private study only, and not for any Commercial Use.
Use of Licensed Materials. If Supplier is to use any software or other material licensed to Company or any Company Affiliate by a third party, such use must be permitted by and shall be subject to any restrictions in the applicable license. Supplier may be required to execute a confidentiality agreement, sublicense or other appropriate agreement with Company, Company Affiliate and/or such third party prior to such use.
Use of Licensed Materials. Licensee is responsible for determining its desired results from use of the Licensed Materials, evaluating the capabilities of the Licensed Materials and successfully using and operating the Licensed Materials. Licensee understands that the certain Licensed Materials may be based or rely, in part, upon interpretations of federal, state and foreign laws and other regulations or statutes. Licenses understands that: (a) Licensee will review the effect of the interpretations contained in the Licensed Materials, and other data generated by the Licensed Materials, with appropriate professional advisors; (b) Licensee is solely responsible for ensuring that any output generated by the Licensed Materials are prepared and filed in accordance with applicable laws and regulations; and (c) Licensee is solely responsible for the consequences of using any data generated by the Licensed Materials.
Use of Licensed Materials. Licensee may use the Licensed Materials for the Purposes. Licensee shall not create derivative works of the Licensed Materials or otherwise alter, adapt, modify or translate the Licensed Materials in any way for any purpose except the purposes expressly permitted by this Agreement. Licensee shall not incorporate component files of the Software into any other product.
Use of Licensed Materials. The licensed works as referenced in this Permission Agreement shall not be altered, modified, changed in any manner or form without the express written consent of the Licensor.
Use of Licensed Materials. Conduct of Business You agree (i) to conduct business at all times in a manner that reflects favorably on the NILD Educational Therapy® program and the goodwill and reputation of NILD; (ii) to not engage in deceptive, misleading or unethical practices; (iii) to refrain from making any representations, warranties, or guarantees to customers, students, or any other party that are inconsistent with any policies or representations of NILD; and (iv) to comply with all applicable law. Without limiting the above, You agree to not misrepresent Your authorization status or Your level of related skill and knowledge. Ownership This Agreement does not transfer title to or ownership of the Licensed Material to You. NILD retains all title and ownership of all intellectual property rights in the Licensed Materials, the NILD Educational Therapy® program, the NILD trademark and logo, and all related materials. NILD does not transfer any portion of such title and ownership, and this Agreement does not grant You any right or license except as expressly provided. All Licensed Materials are protected by U.S. Copyright law, the Berne Convention for the Protection of Literary and Artistic Works, and other international treaties, conventions, or agreements.
Use of Licensed Materials. You will not use the Capital One Licensed Materials in any manner that is disparaging or that otherwise portrays Capital One in a negative light. You will not create, publish, distribute or permit any written material that makes reference to Capital One, without first submitting such material to us and receiving Capital One’s written consent. Capital One reserves all of its rights in the Capital One Licensed Materials, and all other intellectual property rights. Capital One may revoke Publisher’s license by giving notice in accordance with the provisions of Commission Junction Publisher Service Agreement.
Use of Licensed Materials. 5. This Agreement governs your use of the following, all of which collectively are the "Licensed Materials", to develop applications: (a) Fixflo's application programming interface ("API") and any accompanying or related documentation, source code, executable applications and other materials (collectively, the "Fixflo API"), including, but not limited to, as made available through Fixflo's website (the "Fixflo Website"), as modified from time to time; and (b) any other content or material made available through the Fixflo API (the "Content").
