To the Company’s knowledge, no Company Affiliate is an owner of shares or other securities of any member of FINRA participating in the Offering (other than securities purchased on the open market).
Each year during the term of this Agreement, the Company and each Company Affiliate shall deliver to the County Auditor, County Treasurer, Assessor, Economic Development Director and County Attorney a copy of their most recent annual filings made with the Department of Revenue with respect to its respective portion of the Project, not later than thirty (30) days following delivery thereof to the Department of Revenue.
If the Project is deemed not to be eligible for a Negotiated FILOT pursuant to the Act in whole or in part, the Company and the County agree that the Company and any Company Affiliate shall pay an alternate fee-in-lieu of tax calculated in the manner set forth in Section 5.01(b)(i) hereof.
The Company acknowledges that such a transfer of an interest under this Agreement or in the Project may cause the Project to become ineligible for a Negotiated FILOT or result in penalties under the Act absent compliance by the Company or such Company Affiliate with the Transfer Provisions.
The Investment Requirement shall not include any amount paid by the Company, or any Company Affiliate for real estate improvements placed in service on the Land as of the date of this Agreement.
