FOREIGN LAWS. When required by local or national law, Licensee will register this Agreement, pay all costs and legal fees connected therewith, and otherwise insure that the local and national laws affecting this Agreement are fully satisfied.
FOREIGN LAWS. PURCHASER hereby covenants that it will comply with all laws and regulations in each foreign jurisdiction in which it purchases, offers, sells or deliver the Securities, or has in its possession or distributes any offering material.
FOREIGN LAWS. (a) All obligations under the Transaction Documents are valid, legally binding upon, validly perfected where required, and enforceable against, the Parties as a matter of all relevant laws (other than, but only to the extent opined upon herein, the laws of Luxembourg), most notably the expressed governing law, and the choice of such governing law is valid and enforceable as a matter of that governing law and all other laws (other than, but only to the extent opined upon herein, Luxembourg law), and there is no provision of the laws of any relevant jurisdiction (other than, but only to the extent opined upon herein, Luxembourg) that would have a bearing on the foregoing.
FOREIGN LAWS. I agree to comply with the applicable laws of any foreign countries with which the Company does business.
FOREIGN LAWS. Can-Fxxx hereby represents that it has satisfied itself as to the full observance of the laws of its jurisdiction in connection with any invitation to subscribe for the Shares or any use of this Agreement, including (i) the legal requirements within its jurisdiction for the purchase of the Shares, (ii) any foreign exchange restrictions applicable to such purchase, (iii) any governmental or other consents that may need to be obtained, and (iv) the income tax and other tax consequences, if any, that may be relevant to the purchase, holding, redemption, sale, or transfer of the Shares. Can-Fxxx’x subscription and payment for and continued beneficial ownership of the Shares will not violate any applicable securities or other laws of Can-Fxxx’x jurisdiction.

FOREIGN LAWS. SECTION 24.1 When required by local/national law, CUBIST shall register this AGREEMENT, pay all costs and legal fees connected therewith, and otherwise insure that the local/national laws affecting this AGREEMENT are fully satisfied.
FOREIGN LAWS. 8.1 When in Taiwan, the Team Member is subject to the laws of Taiwan, not Canadian laws. Accordingly, the Team Member agrees to comply with the laws of Taiwan and understands that should he/she breach such laws he/she may be subject to the full force of sanctions, including criminal sanctions that may be imposed under Taiwan’s law.
FOREIGN LAWS. Except for filings and approvals required from the Reserve Bank of South Africa, no registration or filing with any regulatory or other governmental authority or other third party is necessary under the laws of the Republic of South Africa or political subdivision thereof in connection with the issuance by the Company of the Shares pursuant to this Agreement, and such issuance is not a violation of any laws, rules or regulations of the Republic of South Africa or any of its political subdivisions.
