Modification of Licensed Materials. The Participating Institutions or the Authorized Users shall not modify or manipulate the Licensed Materials without the prior written permission of the Licensor.

If, in the reasonable opinion of the Licensee, any such modification renders the Licensed Materials substantially less useful in a material respect to the Members or its Authorized Users, Licensee may seek to terminate this License Agreement for breach pursuant to the termination provisions in section 10 [Term, Renewal, and Termination].

If the withdrawal of licensed materials represents more than 10% of the originally• licensed content, the Licensor shall refund to Licensee that part of the fee that is in proportion to the amount of material withdrawn and to the remaining unexpired portion of the subscription period. If the withdrawal materially diminishes the usefulness of the Licensed Materials, Licensee may treat such changes as a material breach of this License.

No copyright notices, trademark or proprietary notices, author attributions or other notices or disclaimers in the Licensed Materials included by Licensor, may be removed, obscured or modified in any way. Licensee shall post appropriate notices and take reasonable measures to ensure that Authorized Users are informed of the applicability of copyright law and have agreed to the restrictions in this License with respect to the reproduction, use and transmission of the Licensed Materials. In the event of violation of the terms and conditions of this License or of applicable copyright law, Licensor and Licensee agree to take immediate action to suspend access to the Licensed Materials by any Authorized User violating these restrictions on reproduction, use and transmission of the Licensed Materials and shall consider other restrictions on access to and retrieval of the Licensed Materials, including additional limitations on printing and downloading without prejudice to Licensor’s rights and remedies.
Modification of Licensed Materials. Licensee, the Participating, or Authorized Users Institutions shall not modify, reverse assemble, decompile, reverse engineer, manipulate or create derivative works of the Licensed Materials.

Commercial Purposes. Other than as specifically permitted in this Agreement, Licensee may not use the Licensed Materials for commercial purposes, including but not limited to the sale of the Licensed Materials, bulk reproduction or distribution of the Licensed Materials in any form or provision of educational programming for other than employees of the Licensee. Removal of Copyright Notice. Licensee may not remove, obscure or modify any copyright or other notices included in the Licensed Materials.
