Termination by Apple. Apple may terminate this Agreement at any time and for any reason or no reason, provided Apple gives You thirty (30) days written notice. Further, Apple may at any time and without prior notice, immediately terminate or suspend all or a portion of Managed Apple IDs and/or access to the Service upon the occurrence of any of the following: (a) violations of this Agreement, including but not limited to, Section 4A. (“Use Restrictions”), or any other policies or guidelines that are referenced herein and/or posted on the Service;; (b) a request and/or order from law enforcement, a judicial body, or other government agency; (c) where provision of the Service to You is or may become unlawful; (d) unexpected technical or security issues or problems; (e) Your participation in fraudulent or illegal activities; or (f) failure to pay fees, if any, owed by You in relation to the Service if you fail to cure such failure within thirty (30) days of being notified in writing of the requirement to do so. Apple may terminate or suspend the Service in its sole discretion, and Apple will not be responsible to You or any third party for any damages that may result or arise out of such termination or suspension.

Any such termination or suspension shall be made by Apple in its sole discretion and Apple will not be responsible to you or any third party for any damages that may result or arise out of such termination or suspension of your Account and/or access to the Service, though it will refund pro rata any pre-paid fees or amounts.
Termination by Apple. If any additional third party Intellectual Property Rights or Technology required to be listed by Section 7.3(b) are added to Schedule E after the Effective Date, Apple may, within 10 Business Days after the receipt by Apple from AuthenTec of an amendment to Schedule E, terminate this Agreement upon written notice to AuthenTec. If Apple terminates this Agreement pursuant to this Section 8.3 after payment of the Acquisition Right Fee, AuthenTec will promptly (and in no event later than 10 Business Days after the effective date of such termination) refund to Apple the Acquisition Right Fee. If Apple terminates this Agreement pursuant to this Section 8.3 prior to payment of the Acquisition Right Fee, for avoidance of doubt, Apple will not be obligated to pay to AuthenTec the Acquisition Right Fee (or any portion thereof).

In addition, Apple may terminate your Account upon 30 days’ prior notice via email to the address associated with your Account if (a) your Account has been inactive for one (1) year; or (b) there is a general discontinuance of the Service or any part thereof. Notice of general discontinuance of service will be provided as set forth herein, unless it would not be reasonable to do so due to circumstances arising from legal, regulatory, or governmental action; to address user security, user privacy, or technical integrity concerns; to avoid service disruptions to other users; or due to a natural disaster, a catastrophic event, war, or other similar occurrence outside of Apple’s reasonable control. In the event of such termination, Apple will provide you with a pro rata refund of any pre-payment for your then-current paid term. Apple shall not be liable to you for any modifications to the Service or terms of service in accordance with this Section VIIB.
Termination by Apple. In the event APPLE elects not to proceed with the Project as contemplated by this Agreement, APPLE shall notify the City in writing, and this Agreement and the obligations on the part of both parties shall be deemed terminated and of no further force or effect. Among other reasons, APPLE may elect to terminate this Agreement because it has not entered into separate economic development agreements for the Project with Xxxxxx County and the State of Texas.
