Other Reasons definition

Other Reasons means (a) reduction in your base salary; (b) material diminution in your duties, which diminution continues after notice thereof is given to the Company by you; (c) the Company's failure to maintain a material benefit or compensation plan ( i.e., medical insurance or 401(k)) or plans that are substantially similar to, or afford substantially similar benefits as, such benefit or compensation plans; (d) relocation of your primary work location more than fifty miles from your current location; or (e) failure by the Company to obtain the agreement to assume and perform this Agreement by an acquiring Person.
Other Reasons means “ justified by laws and regulations" are as long as they are not contrary to the laws and regulations, for example the transfer of n Trademark ownership due to the insolvency, dissolution of legal entities, restructuritation, mergers or acquisitions.
Other Reasons means any reason other than "cause," death, "disability" or voluntary resignation.

  • Named Executive Officer or “NEO” means each of the following individuals:
