Supplier Assistance. In the event requirements are not completely clear, or where special assistance is needed, Xxxxxx Machine Company LLC will provide qualified personnel to consult with the Supplier. Requests for assistance shall be made via the Xxxxxx Machine Company LLC’s Buyer or Quality Systems Department. If inquiries pertain to quality aspects of supplies or services being procured, Xxxxxx Machine Company LLC’s Procurement Quality Assurance Organization may be contacted.
Supplier Assistance. In the event that requirements are not completely clear, or where special assistance is needed, STRATA-G will provide personnel to consult with the Supplier. All communication and request for assistance shall be made via the STRATA-G Purchasing Department.
Supplier Assistance. The Supplier may, in its sole discretion, furnish to the Distributor marketing and promotional materials, with or without charge, in accordance with its national program for such materials. In the event that the Supplier receives requests for information relating to or purchase orders for the Products from customers or potential customers within the Territory, the Supplier shall promptly forward such requests or purchase orders to the Distributor.
Supplier Assistance. Supplier will assist/provide reasonable assistance to PPG and PPG’s Affiliates in: responding to requests for exercising Data Subjects’ rights under the Data Protection Laws and communications and complaints from Data Subjects and Supervisory Authorities and other third parties in connection with Agreement Personal Data, including without limitation by appropriate technical and organisational measures, insofar as this is possible; documenting any Data Security Incidents and reporting any Data Security Incidents to any Supervisory Authority and/or Data Subjects; conducting privacy impact assessments of any Processing operations and consulting with Supervisory Authorities, Data Subjects and their representatives accordingly; and taking measures to address Data Security Incidents, including without limitation, where appropriate, measures to mitigate their possible adverse effects.
Supplier Assistance. 10. The Supplier shall put in place and maintain appropriate technical and organisational measures to assist the Customer with the Customer’s obligations to respond to Data Subject Requests, including to ensure that all Data Subject Requests it receives are recorded and then referred to the Customer within three days of receipt of the request.
Supplier Assistance. SUPPLIER shall execute all documents and take all such other actions as may be reasonably requested by NOVARTIS or its Affiliates in order to permit NOVARTIS (or its Affiliates) to obtain the benefit of its rights (including Intellectual Property) under or in connection with this Agreement, and shall cause any employees, Approved Subcontractors, suppliers of Components or any other subcontractor to take such action, all at NOVARTIS’ expense. SUPPLIER shall ensure that it has enforceable written agreements with its Approved Subcontractors granting to SUPPLIER rights (with the right to sub-license) to all results and Intellectual Property created by such Approved Subcontractors during the course of their engagement hereunder.
Supplier Assistance. In the event of a Supply Failure Purchaser shall be entitled to select, at its sole discretion, an Alternate Supplier, and Supplier shall provide assistance and cooperation in accordance with Article 3.9.2.
Supplier Assistance. At Customer’s request, Supplier shall assist Customer, at Customer’s expense, with respect to any such recall or remedial action, and shall provide Customer with all information that Customer may request in connection with its dealings with a Regulatory Authority in connection with such recall or remedial action.
Supplier Assistance. As requested by Client, Supplier shall assist Client in defining information technology architectures and standards on an ongoing basis and in preparing long-term strategic information technology plans and short-term implementation plans on an annual basis. The assistance to be provided by Supplier shall include (1) active participation with Client representatives on permanent and ad-hoc committees and working groups addressing such issues; (2) assessments of the then-current information technology architectures, standards and systems; (3) analyses of the appropriate direction for such architectures, standards and systems in light of business priorities, business strategies and competitive market forces; and (4) recommendations regarding information technology architectures and platforms, software and hardware products, information technology strategies and directions, and other enabling technologies. With respect to each recommendation, Supplier shall provide: (A) cost projections and cost/benefit analyses; (B) the changes, if any, in the personnel and other resources required to operate and support the changed environment; (C) the resulting impact on Client’s information technology costs; (D) the expected performance, quality, responsiveness, efficiency, reliability and other service levels; and (E) high level plans and high level projected time schedules for development and implementation. To the extent the foregoing Services are not defined as being in- scope under a Service Agreement, such Services may be subject to the payment of additional Charges by Client.
Supplier Assistance. Company shall promptly provide Supplier network access to the appropriate install sites and configuration information for the related network equipment so that Supplier has a reasonable opportunity to diagnose and resolve Product issues within agreed upon service levels. Upon request, Company shall also provide reasonable access to all necessary personnel to answer questions about any problems reported by Company regarding the Products. Company shall promptly implement all Updates and error corrections provided by Supplier hereunder.
