Site Access and Requirements. At no cost to us, you agree to provide us with full and free access to your personnel, facilities, and equipment as may be reasonably necessary for us to provide implementation services, subject to any reasonable security protocols or other written policies provided to us as of the Effective Date, and thereafter as mutually agreed to by you and us.

At no cost to Contractor, the City agrees to provide Contractor with full and free access to the City’s personnel, facilities, and equipment as may be reasonably necessary for Contractor to provide implementation services, subject to any reasonable security protocols or other written policies provided to Contractor as of the Effective Date, and thereafter as mutually agreed to by the Parties. Contractor, on behalf of itself and its employees, agrees that the terms and conditions set forth in Schedule 3 to Exhibit C will apply to Contractor’s access to the City’s information technology infrastructure. Notwithstanding the foregoing, the City understands and agrees that Contractor uses the remote connection tools Bomgar and GoToAssist, and that any suspension of remote connections are subject to City, not Contractor, control. In the event Contractor uses a connection tool other than Bomgar or GoToAssist, Contractor will advise the City of the change, and will work with the City to address the impact of any such change. The City further understands and agrees that City limitations on Contractor’s access to City’s infrastructure may impact the speed and manner in which Contractor is able to resolve a support issue. The City further agrees to provide a reasonably suitable environment, location, and space for the installation of the Contractor Software and any Third Party Agreement # Products, including, without limitation, sufficient electrical circuits, cables, and other reasonably necessary items required for the installation and operation of the Contractor Software and any Third Party Products.

City further agrees to provide a reasonably suitable environment, as defined in the Infrastructure Assessment Report, location, and space for the installation of the Software, including, without limitation, sufficient electrical circuits, cables, and other reasonably necessary items required for the installation and operation of the Software.

Tyler shall be responsible for the acts of its employees and agents while on the Client’s premises when such employees and agents are acting in the course of their employment with us. We further agree that in the event of an accident of any kind involving Tyler employees located on Client’s premises, we will promptly notify the Client’s contact person and thereafter, if requested, furnish a full written report of such accident. Tyler personnel shall have the right to use only those facilities of the Client that are necessary to perform services under this Agreement and shall have no right to access any other facility of the Client. The Client shall extend parking privileges to properly identified members of Tyler’s staff on the same basis as they are extended to the Client’s staff. You further agree to provide a reasonably suitable environment, location, and space for the installation of the Tyler Software and any Third Party Products, including, without limitation, sufficient electrical circuits, cables, and other reasonably necessary items required for the installation and operation of the Tyler Software and any Third Party Products.
