Your Personnel. 31.1 You shall not assign, delegate or subcontract any portion of your rights, duties or obligations without the express prior written consent of GE; any actions taken by you in contravention of the foregoing is hereby deemed null and void. Notwithstanding your retention of Your Personnel and any such GE’s consent, you shall remain entirely responsible for your, as well as Your Personnel’s, delivery of all Products, Services and Deliverables, as well as compliance with all terms of this PO.

Your Personnel. You are solely responsible for all acts and omissions of your officers, directors, partners, employees, agents, representatives, contractors, and third party service providers, including persons granted signature authority on your accounts and personnel who are permitted to initiate and/or give us instructions with respect to your entries (collectively, “Your Personnel”). We are entitled, without further inquiry or investigation, to assume that the actions of Your Personnel are appropriate and authorized by you. This authorization will remain in effect unless we receive written notice to the contrary from you and have had a reasonable opportunity to react thereto. You are strongly advised to establish and maintain policies and procedures and accounting and auditing controls (including separation of duties for statement review and other activities) that will prevent and/or allow the prompt detection of fraud or other unauthorized activity by Your Personnel. As between you and us, you agree to accept sole responsibility for losses attributable to any and all acts and omissions of Your Personnel.
Your Personnel. You must have at least one attendant present at your exhibit at all times during the published exhibit hours to conduct demonstrations and to provide security for your property. You are responsible for all of your personnel; they will not be considered employees, agents or subcontractors of OMG for any purpose whatsoever. While at the Conference, your personnel will be subject to the general rules and regulations of the Conference set by OMG.

Your Personnel. You warrant that you will perform, at your expense, a background check on each individual whom you submit to us to provide Services (employee, subcontractor, agent, or otherwise; collectively “Personnel”) before they may perform such Services, according to applicable law and our policies, and will only assign Personnel to perform Services who have successfully passed such a check within the five (5) years preceding the time of assignment. The background check shall include, at a minimum: (i) a check to verify identity (e.g. Social Security Number trace or equivalent); (ii) a criminal check that includes, at a minimum, a check to verify that the individual does not have a felony conviction or any conviction involving violence, theft, fraud, or criminal acts involving financial impropriety within the seven (7) years preceding the background check; (iii) a check to verify that the individual is not on the National Sex Offender Registry or any global sanctions list; and, if applicable, (iv) any other screening requirements set forth in the work order. You agree to provide us with written confirmation that each individual whom you submit to us to provide Services has passed a background check that meets the above requirements. You further agree to provide us with a copy of an individual’s background check report, if requested by us. If you are unable to perform a background check in conformance with the foregoing, you agree to notify us in advance and allow us to perform the background check, and you agree to cooperate fully with us in such background check. You agree that we will have the right, in our discretion, to perform a background check on any Personnel at any time. You further warrant that all Personnel you submit to us are eligible for employment in the United States and you will provide us with written notice of any restrictions on your Personnel’s legal eligibility to work. We may require your Personnel to utilize mobile software applications for physical and logical access to our buildings and systems. You will equip all Personnel, at your expense, with an electronic device that supports our applications. If we request that you replace assigned Personnel, you will immediately provide us with a replacement satisfactory to us at no additional charge. You are responsible for all acts or omissions of your Personnel.
Your Personnel. You acknowledge and agree that you are fully responsible for the acts and omissions of your personnel, and accordingly that where the work order: • imposes an obligation on your personnel, you are fully responsible for the performance by those personnel of such obligations; and • prohibits an act by you, the performance of that act by any of your personnel will be deemed to be a performance of that act by you. You must ensure that your personnel: • are given full details of the deliverables to be carried out by them; • are aware of, and comply with, your obligations in providing the deliverables; • have the requisite skills and experience to undertake the deliverables; • apply an appropriate level of professional skill and judgment as may be expected of an information technology specialist performing similar deliverables; • provide such reasonable assistance to other service providers as the buyer may request from time to time; and • cooperate with any third party service provider appointed by the buyer when this is necessary to ensure the integrated and efficient conduct of the buyer's operations.
Your Personnel. You shall carry out the Services using only appropriately experienced, qualified and trained personnel. You shall ensure that Your Personnel receive induction and training appropriate to their role within the Service delivery, that the quality of their work will be continuously assessed, and that they will receive further training as necessary to ensure that they meet the standards required to provide the Services in accordance with this Grant Agreement. If your Project involves work with vulnerable adults, children, young people or other vulnerable groups you will ensure that you have a Safeguarding Children and or Safeguarding Adults policy in place to promote good practice and ensure risks to vulnerable people are assessed and mitigated appropriately. You will obtain all approvals and licences and any profile checks, including but not limited to Disclosure and Barring Service (“DBS”) checks on Personnel, required by law. In any case you shall carry out a DBS check at a level appropriate to the role undertaken by the subject of the check on all Personnel engaged in a Regulated Activity (as defined in the Safeguarding Vulnerable Groups Act 2006) or otherwise where DBS advice or guidance or a risk assessment shows such a check is desirable or necessary provided always that the law permits such a check to be carried out. Your Safeguarding Adults policy shall comply with the Council’s Adult Protection Guidance which you must download at: xxxx://xxx.xxxxxxxxxxx.xxx.xx/living/adult-care/careprofessionals/safeguardingadultspolicy.aspx Where you have volunteers providing the Services or any part of it, you must have a written volunteers’ policy. The Council may require you to remove a member of your Personnel from the provision of the Services, and if the Council gives notice that it requires such removal, then you shall immediately remove that individual from the delivery of the Services pending full investigation and provide a replacement of appropriate skill and competence, but the Council shall not be liable either to the individual or to you for any claims or costs arising out of such removal under this Condition 9.3. The Council will not act unreasonably or vexatiously in requesting removal of any Personnel. Any notice given by the Council to you under Condition 9.4 shall set out the grounds or reasons for the Council exercising its rights under that Condition. You shall be responsible for the payment of all statutory entitlements, salaries, bonus (if any)...
