Reseller Services. 3.3.1 Educational Services. McDATA will make certain educational services ("McDATA Fibre Channel Educational Services") available to Reseller and its Channel Partners. Reseller and its Channel Partners may purchase or license such educational Resale Agreement No. 90-00-0109-07 IBM Corporation / McDATA Corporation Figure B-3 02/22/00 2 6 services from McDATA as mutually agreed to under a separate agreement.
Reseller Services. 1.2.1 ZealiD hereby appoints Reseller as a non-exclusive reseller for the Services subject to the terms and conditions of this Reseller Agreement.
Reseller Services. 3.1 Partner will resell the Payment Processing Services in its own name and for its own account. To this end, Partner shall connect its gateway to the Payvision Gateway to create to ability for Accepted Merchants to process Cards Payments trough Payvision. Payvision shall have no direct contact with the Merchants. The Payment Processing Services will only be available for Accepted Merchants and for the term of this Agreement.
Reseller Services. Reseller shall, for all Products purchased by Reseller pursuant to this Agreement and resold by Reseller, provide all customer services necessary for the installation and operation of the Products and as otherwise reasonably specified by Trendway. These services may include (without limitation) design services, installation of the Products, responding to customer inquires and complaints, and general customer service with respect to the sales. Reseller shall ensure that all of such services are performed at all times by competent, skillful, and knowledgeable personnel (that have undergone any training required by Trendway) in accordance with the highest industry standards.
Reseller Services. Subject to the terms and conditions set forth herein, Reseller agrees to resell the CTS only in the Territories covered by this Agreement. Reseller acknowledges and agrees that this is a nonexclusive relationship and GTE shall have other Resellers, agents, and other representatives that sell the CTS and GTE shall directly compete with Reseller. Reseller shall be solely responsible for all risks, expenses and liabilities incurred in connection with the sale of CTS or any other acts required of or taken by Reseller pursuant to this Agreement. Further, Reseller shall be obligated to provide to its End Users all customer service and any other support services in connection with its provision of CTS.
Reseller Services. Subject to the terms, limitations and conditions set forth herein, GTE shall provide CTS to Reseller in the Territories. If GTE divests its interest in any of the Territories or loses its FCC license to provide such CTS, GTE shall provide Reseller notice of such divestiture or loss and GTE's obligations hereunder shall cease with respect to each affected Territory. GTE further agrees to provide to Reseller the Other Services provided for in this Agreement in conjunction with the CTS. GTE acknowledges and agrees that this is not an exclusive Agreement and Reseller may resell cellular telephone service from other carriers whether within or outside of the Territories. Nothing in this Agreement shall prevent GTE from terminating, adjusting, modifying or grandfathering any and all of its rate plans for GTE CTS; provided, however, that GTE will permit Reseller to resell such rates for the ninety (90) day period provided for in Article III.

  • Cloud Services If You would like to deploy Cloud Services, We grant You and Your Affiliates a non-exclusive, non-transferable, worldwide right to authorize individuals solely within Your and Your Affiliates’ organization (“Users”) to access or exchange data via the Cloud Services during the Term (as defined in Section 8 below), but only for Your own internal business purposes and subject to the terms and conditions of this Agreement and terms associated with the specific Cloud Services contained in the Order and applicable schedule(s). We are not responsible for web pages or servers that are not owned or controlled by Us, even if linked to (including via application programming interfaces) the Cloud Service. We do not endorse any sites on the Internet that are linked through the Cloud Service; such links are provided to You and your Users only as a convenience. In addition, certain third-party providers of ancillary software, hardware or services may require Your agreement to additional or different licence or other terms prior to Your or Your Users’ use of or access to such software, hardware or services. Cloud Services offerings may include a limited-use subscription to on- premise Software as described in the applicable schedule(s), and use of such Software must comply with all licence terms. Under no circumstances may the Cloud Services be used for any illegal or illicit purpose in any geography where the Cloud Services are used. You must: (i) protect the secrecy of Your authorized user IDs and passwords; (ii) notify Us immediately of any unauthorized use of any user ID or password or any other known or suspected breach of security; and (iii) report to Us immediately and use reasonable efforts to stop any copying or distribution of content not authorized by Us. You agree that anyone who inputs a valid user ID and password will be deemed an appropriate User unless and until You notify Us otherwise in writing. Any individual User who has violated this Section may have its account suspended.

  • Our Services As insurance intermediaries we generally act as the agent of our client. We are subject to the law of agency, which imposes various duties on us. However, in certain circumstances we may act for and owe duties of care to other parties, including the insurer. We will advise you when these circumstances occur, so you will be aware of any possible conflict of interest. We offer a wide range of products and services which may include: • Offering you a single or range of products from which to choose a product that suits your insurance needs; • Advising you on your insurance needs; • Arranging suitable insurance cover with insurers to meet your requirements; • Helping you with any subsequent changes to your insurance you have to make; • Providing all reasonable assistance with any claim you make. In some cases, we act for insurers under a delegated authority agreement and can enter into insurance policies, issue policy documentation and/or handle or settle claims on their behalf. Where we act on behalf of the insurer and not you, we will notify you accordingly and in relation to claims we will advise you of this fact when you notify us of a claim. Notwithstanding this, we endeavour to always act in your best interest. As intermediaries, we offer a wide range of insurance products and have access to many leading insurance companies and the Lloyd’s market. Depending on the type of cover you require and where we have provided advice based on a personal recommendation, we will offer you a policy from either: • a single insurer; • a limited range of insurers; or • a fair analysis that is representative of the insurance market. We will advise you separately as to which of these apply before we arrange your policy and where we have not undertaken a fair analysis of the market, we will provide you with a list of insurers considered. For Motor Vehicle insurance we require customers to pay an additional charge for our claims service – Coversure Claimsline (details are provided in a separate document). This is a “one-stop” service that enables us to assist you with any claim you may incur. The cost of the Coversure Claimsline services will be included in the price quoted to you for the Motor Vehicle insurance and shown separately in your documentation. By purchasing motor insurance from us, you authorise Coversure and its agents to take all necessary actions to handle your claim including dealing with your insurers, third parties and their insurers and other service suppliers on your behalf. For all other policies, including optional additional products and premium finance (if relevant), before the insurance contract is concluded and after we have assessed your demands & needs, we will provide you with advice and make a personal recommendation. This will include sufficient information to enable you to make an informed decision about the policy that we have recommended, together with a quotation which will itemise any fees that are payable in addition to the premium. This documentation will also include a statement of your demands and needs. You should read this carefully as it will explain reasons for making the recommendation we have made.

  • Hospice Services Services are available for a Member whose Attending Physician has determined the Member's illness will result in a remaining life span of six months or less.

  • Autism Services This plan covers the following services for the treatment of autism spectrum disorders. • Applied behavior analysis when provided and/or supervised by an individual licensed by the state in which the service is rendered. See the Summary of Medical Benefits for the amount that you pay. • Physical therapy, occupational therapy, and speech therapy services when rendered as part of the treatment of autism spectrum disorder. A benefit limit will not apply to these services. • Psychological and psychiatric services, and prescription drugs are also covered. See Behavioral Health Services and Prescription Drugs and Diabetic Equipment or Supplies for additional information. Coverage for autism spectrum disorders does not affect any obligation of a school district, a state or other governmental entity to provide services to an individual under an individualized family service plan, an individualized education program, or similar services required under state or federal law. Services related to autism that are furnished by school personnel are not covered under this plan.

  • Telemedicine Services This plan covers clinically appropriate telemedicine services when the service is provided via remote access through an on-line service or other interactive audio and video telecommunications system in accordance with R.I. General Law § 27-81-1. Clinically appropriate telemedicine services may be obtained from a network provider, and from our designated telemedicine service provider. When you seek telemedicine services from our designated telemedicine service provider, the amount you pay is listed in the Summary of Medical Benefits. When you receive a covered healthcare service from a network provider via remote access, the amount you pay depends on the covered healthcare service you receive, as indicated in the Summary of Medical Benefits. For information about telemedicine services, our designated telemedicine service provider, and how to access telemedicine services, please visit our website or contact our Customer Service Department.

  • Pharmacy Services The Contractor shall establish a network of pharmacies. The Contractor or its PBM must provide at least two (2) pharmacy providers within thirty (30) miles or thirty (30) minutes from a member’s residence in each county, as well as at least two (2) durable medical equipment providers in each county or contiguous county.

  • Provider Services The Contractor’s system shall collect, process, and maintain current and historical data on program providers. This information shall be accessible to all parts of the MCMIS for editing and reporting.

  • Web Services Our Web Services are designed to enable you to easily establish a presence on the Internet. Our Web Hosting and Design is composed of our Web Hosting and Design Publishing Component and other miscellaneous components. These components may be used independently or in conjunction with each other.
