Separate Agreement definition

You hereby (i) acknowledge and agree that you are not a party to any written or enforceable oral agreement with SC LLC or any of its Subsidiaries other than those listed in the preceding sentence (which, for the avoidance of doubt are not intended to include employee benefit plans maintained for the benefit of employees of SC LLC in which you participate) and (ii) relinquish and waive all rights under any agreement with SC LLC or any of its Subsidiaries not listed in the preceding sentence (excluding, for the avoidance of doubt, any employee benefit plans maintained for the benefit of employees of SC LLC or its Affiliates in which she participates).
