Reports, Statements and Certificates. So long as any Notes are outstanding, the Depositor shall deliver or cause to be delivered to the Underwriters, as soon as copies become available, copies of (i) each payment date certificate delivered to Securityholders pursuant to Section 4.9 of the Sale and Servicing Agreement, (ii) the annual statements of compliance, annual independent certified public accountants’ reports and annual opinions of counsel furnished to the Indenture Trustee or the Owner Trustee pursuant to the Basic Documents, as soon as such statements, reports and opinions are furnished to the Indenture Trustee or the Owner Trustee, as the case may be, (iii) all documents of the Depositor or the Trust required to be filed with the Commission pursuant to the Exchange Act or any order of the Commission thereunder and (iv) such other information concerning CarMax LLC, the Depositor, the Trust or the Securities as the Underwriters may reasonably request from time to time.

So long as any Offered Securities are outstanding, the Depositor shall deliver or cause to be delivered to the Underwriters associated therewith, as soon as copies become available, copies of (i) each payment date certificate delivered to the Indenture Trustee pursuant to the Indenture, (ii) the annual statements of compliance, annual independent certified public accountants’ reports and annual opinions of counsel furnished to the Indenture Trustee or the Owner Trustee pursuant to the Basic Documents, as soon as such statements, reports and opinions are furnished to the Indenture Trustee or the Owner Trustee and (iii) such other information concerning the Depositor, the Trust or the Offered Securities as the Underwriters may reasonably request from time to time.

The Transferor and Rydex xxxee that, so long as any Senior Notes are outstanding, the Transferor or Ryder, as the case may be, will make good faith efforts to, as soon as each becomes available, deliver or cause to be delivered to the Representative, as soon as copies become available, copies of (i) each payment date certificate delivered to the Indenture Trustee pursuant to Section 8.03 of the Indenture, (ii) the annual report as to compliance by a firm of independent public accountants delivered pursuant to Section 11.11 of the Administration Agreement, (iii) the officer's certificate delivered by the Administrative Agent pursuant to Section 11.12 of the Administration Agreement, (iv) each periodic report required to be filed by the Transferor with the Commission pursuant to the 1934 Act, or any order of the Commission thereunder and (v) such other information with respect to the Securities concerning Rydex, xxe Transferor, RTR I LP, the Transferor General Partner, the RTR General Partner, the Origination Trust or the Trust as the Representative may reasonably request from time to time.

So long as any Notes are outstanding, the Depositor shall deliver or cause to be delivered to the Underwriters, as soon as copies become available, copies of (i) each Servicer’s Monthly Certificate delivered to the Trustees and the Backup Servicer pursuant to Section [4.09] of the Sale and Servicing Agreement, (ii) the annual statements of compliance, annual independent certified public accountants’ reports and annual opinions of counsel and the Servicer’s report on its assessment of compliance with the minimum servicing criteria and the related attestation report delivered pursuant to the Sale and Servicing Agreement furnished to either Trustee pursuant to the Basic Documents, as soon as such statements, reports and opinions are furnished to the Indenture Trustee or the Owner Trustee, as the case may be, (iii) the Servicer’s report on its assessment of compliance with the minimum servicing criteria and the related attestation report delivered pursuant to the Sale and Servicing Agreement, (iv) each material amendment to any Basic Document, (v) all documents of the Depositor or the Trust distributed to the Noteholders or filed with the Commission pursuant to the Exchange Act or any order of the Commission thereunder and (vi) such other information concerning the Bank Entities, the Trust, the Receivables or the Securities as the Underwriters may reasonably request from time to time.

So long as any Certificates are outstanding, the Depositor shall deliver or cause to be delivered to the Underwriters, as soon as copies become available, copies of (i) each Master Servicer’s Report and Administrator’s Officers’ Certificate delivered to the Administrator or the Indenture Trustee pursuant to Section 3.1 of the Administration Agreement, (ii) the annual statements of compliance, notices of Master Servicer Default, notices of Administrator Default, financial statements, annual independent certified public accountants’ reports and annual opinions of counsel furnished to the Indenture Trustee pursuant to the Basic Documents, as soon as such statements, reports and opinions are furnished to the Indenture Trustee, (iii) all documents of the Depositor or the Trust required to be filed with the Commission pursuant to the Exchange Act or any order of the Commission thereunder and (iv) such other information concerning the Depositor, the Trust or the Securities as the Underwriters may reasonably request from time to time.
Reports, Statements and Certificates. Following the completion of the engagement the Company will issue a written report, statement or certificate of its findings to the Client. Furthermore, also at the request of the Client, the Company can issue an interim report to the Client. Such report is intended for the Client only, but the Company will not unreasonably withhold its consent to the Client disclosing any report(s) to a named third party. Where the Client has agreed to allow a third party to take cognizance of the content of the work performed by the Company for the Client or of any written report, the Client shall in advance of releasing any report immediately provide the third party with a copy of the complete Contract documents and also ensure that all terms of such Contract documents are also accepted by the third party before the report is released, such procedures to take place in order to ensure that any possible liability of the Company towards such third party (including its underwriters) will never exceed any possible liability of the Company vis-à-vis its Client. The Client indemnifies and holds harmless the Company and all parties mentioned in article 4, paragraph a) up to and including e) against claims by third parties (and their underwriters) who claim to have suffered damage as a result of or in connection with the work carried out by the Company on behalf of the Client or as a result of or in connection with any written report.

So long as any Senior Notes ------------------------------------ are outstanding, the Transferor or BMW FS, as the case may be, will deliver or cause to be delivered to the Representative, as soon as copies become available, copies of (i) each payment date certificate delivered to the Indenture Trustee pursuant to Section [8.03] of the Indenture, (ii) the annual report as to compliance by a firm of independent public accountants delivered pursuant to Section 2.11 of the SUBI Servicing Supplement, (iii) the officer's certificate delivered by the Servicer pursuant to Section 2.12 of the SUBI Servicing Supplement, (iv) each periodic report required to be filed by the Transferor with the Commission pursuant to the Exchange Act, or any order of the Commission thereunder, and (v) such other information with respect to the Securities concerning the Transferor, BMW FS, BMW LP General Partner, the UTI Beneficiary, the Vehicle Trust or the Trust as the Representative may reasonably request from time to time.

The Depositor and SierxxXxxxxx.xxx xxxee that, so long as any Notes are outstanding, the Depositor or SierxxXxxxxx.xxx, xx the case may be, deliver or cause to be delivered to the Representative, as soon as copies become available, copies of (i) all documents required to be delivered to the Noteholders under the Transaction Documents, (ii) each periodic report required to be filed by the Depositor with the Commission pursuant to the 1934 Act relating to the Notes or any order of the Commission thereunder and (iii) such other information with respect to the Securities concerning SierxxXxxxxx.xxx, xxe Depositor or the Trust as the Representative may reasonably request from time to time.

So long as any Certificates are outstanding, the Depositor shall deliver or cause to be delivered to the Underwriters associated therewith, as soon as copies become available, copies of (i) the monthly servicing report, (ii) the annual statements of compliance, annual independent certified public accountants' reports and annual opinions of counsel furnished to the pursuant to the Pooling and Servicing Agreement, as soon as such statements, reports and opinions are furnished to the Trustee and (iii) such other information concerning the Depositor, the Trust or the Certificates as the Underwriters may reasonably request from time to time.
