Joint Expenses. During their cohabitation, the Parties shall share joint expenses, including but not limited to rent/mortgage, utilities, groceries, and household expenses, in a fair and equitable manner. The Parties shall maintain separate bank accounts and shall not commingle their finances, except for the purpose of joint expenses.
Joint Expenses. Schedule 4.1 describes those expenses which are Joint Expenses and those which are not Joint Expenses. Each party will act reasonably in incurring any Joint Expenses.
Joint Expenses. For purposes of determining EQR Expenses and Surviving Trust Transaction Expenses, all printing and mailing expenses which are incurred jointly by Wellsford and EQR shall be allocated 50% as Surviving Trust Transaction Costs and 50% as EQR Expenses. However, if a document is sent to the holders of Wellsford Common Shares with respect to the distribution of the shares of Newco to the holders of Wellsford Common Shares which is separate from the proxy statement sent to such holders with respect to the Merger ("Newco Information Statement"), the fees for printing any Proxy Statement and Newco Information Statement sent to holders of Wellsford Common Shares and EQR Common Shares will be allocated 60% as Surviving Trust Transaction Expense and 40% as EQR Expenses, and 100% of the costs of mailing the Proxy Statement and information statements or other documents with respect to the distribution of the shares of common stock of Newco to the holders of Wellsford Common Shares shall be a Surviving Trust Transaction Cost, and 100% of the costs of mailing the Proxy Statement to the holders of EQR Common Shares shall be an EQR Expense.
Joint Expenses. All OUT-OF-POCKET costs and expenses relating to Intended Transactions will be "JOINT EXPENSES", including the fees and expenses payable to the Financial Advisors, the cost of obtaining regulatory or other approvals (including filing fees), the costs of any regulatory or court proceedings, the fees and disbursements of Barrick and Goldcorp's legal advisors, accounting-related fees and expenses, typesetting, printing and mailing costs, costs associated with the public relations strategy (including the cost of road shows and the cost of preparing and printing any promotional materials), solicitation or information agent fees and dealer fees and dealer-manager fees, but EXCLUDING the following, which will not be Joint Expenses: o all costs and expenses relating to negotiating and settling the terms of this Agreement; o all fees and disbursements relating to the Closing (which will exclude, for greater certainty, fees and expenses related to obtaining any regulatory or other approvals in respect of such transaction); and o should Goldcorp choose to retain its own financial advisor(s) to provide it with financial advice or to provide a fairness opinion, the fees and expenses payable to such financial advisor(s).
Joint Expenses. Joint expenses incurred during the execution of joint trips, such as meals, entertainment, etc. will be equally shared between EMS and IVT as appropriate.
