Function and Duties a. The ISDAB shall hear all subdivision and development appeals arising within the Municipalities, as set out in Part 17, Division 10 of the Act, in accordance with the requirements of the Act and this Agreement; provided however that the ISDAB shall not be required to or have the authority to hear subdivision appeals in respect of land situated in the part of the City of Lloydminster located in the Province of Saskatchewan unless designated and appointed by City Council to do so in accordance with subsection (c) herein.

Function and Duties. The Trustees shall employ [LIBRARY DIRECTOR] as the Library Director under an employment contract. The Library Director shall work under the general supervision of the Trustees. The Library Director shall perform the necessary professional and administrative services required by the Trustees in the management of the [LIBRARY] and shall do so in a professional, competent, and expeditious manner under the direction of the Trustees. The Library Director shall be responsible for the duties, responsibilities and assignments in the attached Job Description contained herein as Appendix A. The Library Director shall serve as the designated chief administrative officer and chief librarian of the [LIBRARY]. The Library Director acknowledges the Trustees as the policy setting board of the [LIBRARY], and shall bring to the attention of the Trustees all issues affecting the services, administration, maintenance and operations of the [LIBRARY], and all matters requiring policy decisions. The Library Director agrees to keep the Trustees informed as to the administrative actions taken, and shall provide the Trustees a monthly report, and other reports as required by the Trustees. The Trustees acknowledge the Library Director as the chief administrative officer and chief librarian of the [LIBRARY], and agree to deal with the Library and the Library Director through the Chairperson or designee of the Board of Trustees. The Library Director shall also attend the meetings of the Board of Trustees, the Annual Town Meeting, special Town meetings at which the Library Director’s presence could be reasonably expected, or at which action is contemplated that would affect the administration and affairs of the [LIBRARY]. The Library Director shall cooperate and coordinate Library services with the Town Administrator and the Board of Selectmen.

Function and Duties. The Employee is employed as Chief Commercial Officer of the Group. His duties and responsibilities are governed by the organizational regulations of the Company and the Group as well as the directives received by the Company and the Group. The Employee’s role and responsibilities will be aligned with local market conditions and reviewed annually, and the exact key performance indicators will be finalized within 30 days after signing this Agreement. The Employee acknowledges and agrees that, as an employee of the Company, he will comply with all laws and regulations, as well as rules, policies and procedures of the Company and the Group as may be in effect from time to time.
Function and Duties. The Employee is employed as Executive Vice President, Chief Business Officer (CBO). The Employee’s duties and responsibilities shall encompass the usual and customary duties, responsibilities and authority of a CBO and such other duties and responsibilities as are assigned to the Employee hereunder by the Employer’s Board, the CEO and/or the Group’s Board, from time to time. Furthermore, the Employee’s duties and responsibilities are additionally governed by the organizational regulations of the Employer and/or the Group. The Employee reports to the Employer’s Board as well as to the CEO and/or the Group’s Board. The Employee shall perform her tasks with due care and preserve the best interests of the Employer and the Group. The Employee shall use her entire work effort and working time for the benefit of the Employer and the Group. During the Employment Term, the Employee shall not engage in any other business activity, whether or not such activity is pursued for gain, profit or other pecuniary advantage, unless prior written approval by the Employer and/or the Group is obtained; provided, however, that Employee shall be permitted to serve on the Employer’s Board and/or advisory committees of the Employer and/or the Group with the prior approval of the Employer and/or the Group, such approval not to be unreasonably withheld. Notwithstanding the above and with the consent of the Employer and/or the Group, which shall not be unreasonably withheld, the Employee shall be permitted to assume up to two external board positions which may not be with competing companies of the Employer and/or any other Group company. Furthermore, it is anticipated that the Employee will need to represent the Employer’s and/or the Group’s interests in various industry bodies in the relevant sector (such as e.g. IFPMA, EFPIA, Swiss-American Chamber and the like).
