Due Care Clause Samples

A due care clause requires parties to exercise a reasonable level of caution, attention, and diligence in fulfilling their contractual obligations. In practice, this means each party must take appropriate steps to prevent harm, avoid negligence, and ensure their actions meet industry standards or commonly accepted practices. The core function of this clause is to allocate responsibility and reduce the risk of loss or damage caused by carelessness, thereby promoting trust and reliability in the contractual relationship.
