Disentanglement Services Plan. Within thirty (30) day’s written notice from County to Service Provider requesting a plan for Disentanglement Services, Service Provider shall provide for County’s review, comment and approval a plan for implementing the provision of the Disentanglement Services set forth in this Article 10 (Disentanglement Services) (the “Disentanglement Plan”). Service Provider understands and agrees that County’s operations are dependent on the Services and that County’s inability to receive the Services would result in irreparable damages to County. Therefore, upon the expiration of this Agreement or its termination by either party for any reason, including the breach of this Agreement by the other party, the rights of County shall in any and all events (except as provided in Section 10.4) be provided as set forth in this Article. If no Disentanglement Plan has yet been agreed to at the time of termination, the rights of County upon any termination shall be as set forth in this Article 10. If a Disentanglement Plan has been agreed to, then the rights of County upon any expiration or termination of this Agreement shall be as set forth in the most recent approved Disentanglement Plan, and also as set forth in this Article 10. In the event of any inconsistency between this Article 10 and the applicable Disentanglement Plan, this Section shall govern. If no Disentanglement Plan has been agreed to by the parties at the time of any termination of this Agreement, then Service Provider shall provide the professional services staff necessary to provide the Services, at performance standards and Service Levels in effect at the time of termination or expiration, as well as the transition support services, which services shall be provided as set forth in and in accordance with this Article 10.

Disentanglement Services Plan. Provider shall perform the Disentanglement Services as specified in a plan for implementing the provision of the Disentanglement Services set forth in Article 14 to be prepared and submitted by Provider and Approved by the Commission prior to the Base Services Commencement Date and which shall be attached hereto as Exhibit 14.2.1 (the “Disentanglement Services Plan”). Such Disentanglement Services Plan shall be updated annually by Provider as part of the Commission Approved Annual Business Plan.

  • Development Services During the term of this Agreement, the Provider agrees to provide to or on behalf of the Port the professional services and related items described in Exhibit A (collectively, the “Development Services”) in accordance with the terms and conditions of this Agreement.   • Inpatient Services Hospital This plan covers services provided while inpatient in a general or specialty hospital including, but not limited to the following: • anesthesia; • diagnostic tests and lab services; • dialysis; • drugs; • intensive care/coronary care; • nursing care; • physical, occupational, speech and respiratory therapies; • physician’s services while hospitalized; • radiation therapy; • surgery related services; and • room and board. Rehabilitation Facility This plan covers rehabilitation services received in a general hospital or specialty hospital. Coverage is limited to the number of days shown in the Summary of Medical Benefits.

  • Outplacement Services The Executive shall receive reasonable outplacement services, on an in-kind basis, suitable to his position and directly related to the Executive’s Involuntary Termination, for a period of eighteen (18) months following the date of the Involuntary Termination, in an aggregate amount of cost to the Company not to exceed $50,000. Notwithstanding the foregoing, the Executive shall cease to receive outplacement services on the date the Executive accepts employment with a subsequent employer. Such outplacement services shall be provided in a manner that complies with Treasury Regulation Section 1.409A-1(b)(9)(v)(A).

  • Transition Services Agreement Seller shall have executed and delivered the Transition Services Agreement.

  • Payment Services Payment operations, including (i) Payment transfers from the payswix account to the Client’s and / or third parties payment accounts opened with another PSPs, (ii) Payment operations when money is given to the Client under a credit line: Payment operations using a payment card or a similar Payment instrument and / or credit transfers, including periodic Payment transfers; (iii) issuance and / or acceptance of Payment instruments; (iv) Payment operations using a payment card or a similar Payment instrument.

  • Transition Services The Purchasers will provide to the Sellers termination assistance as reasonably requested in order to provide an orderly transition following the termination of the Agreement (or any portion thereof), and the Sellers will provide to the Purchasers reasonable cooperation and assistance in connection therewith. In connection with this transition assistance, the Purchasers and Sellers will reasonably cooperate in the transition of the Services from the Purchasers to any Replacement Provider. With respect to the Serviced Appointments subject to termination, the Sellers shall provide the Purchasers with notice of the effective date (each, a “Transition Effective Date”) of the transition of the Services to a Replacement Provider. Notwithstanding any termination of the Agreement (or any portion thereof) in accordance with this Article II, with respect to the Serviced Appointments subject to termination, the rights and obligations of the parties under the Servicing Agreement shall remain in effect until the applicable Transition Effective Date.

  • Student Services 1. Students taking college classes for dual credit may utilize the same services that are available to other MCC students. MCC is responsible for ensuring timely and efficient access to such services as academic advising, learning materials (e.g., library resources), and other services for which the student may be eligible.
