Approved Customers. QLT must approve, in its reasonable discretion, any customers who are not already Approved Customers as of the Effective Date accessing the Product or, if applicable, Contract Prices, pursuant to this Agreement after Distributor submits the information listed on Exhibit F attached hereto and as reasonably requested by QLT. No approval will be given for entities that are not so approved or do not meet the requirements of this Section 4.8 or other applicable requirements of this Agreement. Where applicable, QLT shall use [*], in assisting it to determine whether or not a Customer meets the requirements of this Agreement. No entity shall be added as an Approved Customer unless and until QLT so notifies Distributor. QLT may revoke its acceptance of any Customer by notifying Distributor. Approved Customers. Licensee shall sell and shall require that its Distributors sell, Licensed Products only to (a) those specialty shops, department stores and retail outlets, including E-Commerce accounts, whose operations are consistent with the prestige of the Trademarks and THL’s sales policies and which have been pre-approved in writing by THL in its sole discretion, (together with the accounts set forth in clauses (c) and (d) herein, “Approved Accounts”), (b) THL and its Affiliates, Licensed Stores and Licensed Sites (c) corporate accounts for the use of the employees of such corporate accounts (“Approved Corporate Accounts”), provided such accounts have been approved in writing by THL and provided further that such accounts do not sell alcohol, tobacco, gaming or firearms products; and (d) advertising specialty companies for resale only to Approved Corporate Accounts, for the use of their employees, and not for resale, provided that such advertising specialty companies shall, prior to receiving any Licensed Products from Licensee, execute an agreement providing for such limitation on resale. Exhibit G sets forth a list of Approved Accounts as of the Effective Date. Prior to the opening of each selling season and whenever Licensee wishes to sell Licensed Products to customers not previously approved, Licensee shall submit a list of its proposed customers for THL’s written approval. THL shall have the right to revoke its approval of an Approved Account or Approved Corporate Account upon 30 days prior written notice to Licensee, if THL determines in its sole discretion that the customer no longer meets its standards. Notwithstanding the foregoing, Licensee shall be permitted to fulfill any orders to such account that were firm prior to such revocation. Licensee shall use all commercially reasonable efforts to prevent its customers from selling Licensed Products outside of the Territory. If any such sales occurs after THL has advised Licensee of such sales, Licensee shall stop selling Licensed Products to such customer and such customer shall cease being an Approved Account hereunder. THL may, at Licensee’s expense, purchase any Licensed Products found in the marketplace that Licensee has sold to unapproved customers.

Hilfiger has the right to withdraw any such approval on written notice to Licensee, provided, however, that Hilfiger will not withdraw approval of a customer which is then carrying any products of Hilfiger's mens sportswear licensee unless Hilfiger is reasonably dissatisfied with the display, delivery or inventory model of Licensed Products of such customer. After such notice, Licensee may not accept additional orders for Licensed Products from such customer, but may fill any existing order.
Approved Customers. (a) The Companies shall deliver to FPM a certificate or letter certifying to FPM the name(s) of all Approved Customer Representatives who shall be authorized to enter into Trades under this Trading Line. FPM may conclusively rely on such certificate or letter until it shall receive a further certificate from the Companies in form acceptable to FPM canceling or amending the prior list of Approved Customer Representatives. Any person identifying himself or herself as an Approved Customer Representative shall have the right to effect transactions under this Trading Line. FPM shall have no responsibility or obligation to ascertain whether the person is in fact an Approved Customer Representative which he or she claims to be or is, in fact, authorized to effect the transaction. At its option, FPM may verify any telephonic or telegraphic request for transaction by calling an Approved Customer Representative, and where more than one Approved Customer Representative is so authorized, by calling an Approved Customer Representative or other individual other than the caller or the individual initiating the transaction. The Companies authorize FPM at its option to record electronically all telephonic requests for transactions that FPM may receive from the Approved Customers or any other person purporting to act on behalf of the Approved Customers and the Companies shall cause each Approved Customer to authorize FPM, in writing, at its option to record electronically all telephonic requests for transactions that FPM may receive from the Approved Customers.
