Suppliers and Customers. Except as would not, individually and in the aggregate, have a Material Adverse Effect on the Company, since March 31, 1999, no licensor, vendor, supplier, licensee or customer of the Company or any of the Subsidiaries has canceled or otherwise modified its relationship with the Company or any of the Subsidiaries other than consistent with past practice and, to the Company's knowledge, (i) no such person has notified the Company or any Subsidiary of its intention to do so, and (ii) the consummation of the transactions contemplated hereby will not adversely affect any of such relationships.
Suppliers and Customers. SCHEDULE 5.18 hereto sets forth the ten (10) largest suppliers and ten (10) largest customers of the VECTRA Waste Business for the ten months ended October 31, 1996. The relationships of the Seller with such suppliers and customers are good commercial working relationships and, except as set forth on SCHEDULE 5.18, no supplier or customer of material importance to the VECTRA Waste Business has canceled or otherwise terminated, or threatened to cancel or otherwise to terminate, its relationship with any of the Seller, VWS or VSI or has during the last twelve (12) months decreased materially, or threatened to decrease or limit materially, its services, supplies or materials for use in the VECTRA Waste Business or its usage or purchase of the services or products of any of the Seller, VWS or VSI except for normal cyclical changes related to customers' businesses and late payments by the Seller to suppliers. The Seller has no knowledge that any such supplier or customer intends to cancel or otherwise substantially modify its relationship with the Seller or to decrease materially or limit its services, supplies or materials to the Seller, or its usage or purchase of the Seller's services or products, and to the knowledge of the Seller, the communication of the transactions contemplated hereby will not adversely affect the relationship of the Buyer with any such supplier or customer in its continuation of the VECTRA Waste Business.
Suppliers and Customers. To the knowledge of SAFEDOX, its relations with its suppliers and customers are good.
Suppliers and Customers. Section 3.01(s) of the Company Disclosure Letter sets forth the names of the 10 largest customers of the Company and its Subsidiaries (as measured by revenue for the twelve-month period ended on December 31, 2010) and the 10 largest suppliers of the Company and its Subsidiaries (as measured by aggregate cost of items or services purchased for the twelve-month period ended on December 31, 2010). The relationships of the Company with each such supplier and customer are good commercial working relationships. No such supplier or customer has canceled or otherwise terminated, or to the knowledge of Seller threatened to cancel or otherwise terminate, its relationship with the Company. Neither the Seller nor the Company has received notice that any such supplier or customer may cancel or otherwise materially and adversely modify its relationship with the Company or limit its services, supplies or materials to or from the Company, either as a result of the transactions contemplated hereby or otherwise.
Suppliers and Customers. The documents and information ----------------------- supplied by the Company to Parent or any of its representatives in connection with this Agreement with respect to relationships and volumes of business done with its significant suppliers and customers are accurate in all material respects. During the last twelve (12) months, the Company has received no notices of termination or written threats of termination from any of the five (5) largest suppliers or the five (5) largest customers of the Company and its subsidiaries.
Suppliers and Customers. SCHEDULE 3.20 sets forth the Company's ten (10) largest suppliers for calendar year 1998 (excluding utility service providers, capital equipment lessors, and capital lease and equipment providers) and ten (10) largest customers for calendar years 1997 and 1998, including the following information: (i) the revenues received from such customers or amounts paid to such suppliers during such years, and (ii) the identity of such customers or suppliers (except where the Company is prohibited from disclosing the identity of such customers by contract with such customer). The relationships of the Company with such suppliers and customers are good commercial working relationships and, except as set forth on SCHEDULE 3.20, the Shareholders are not aware, and have no reason to believe, that any supplier or customer of material importance to the Company has canceled or otherwise terminated, or threatened to cancel or otherwise to terminate, its relationship with the Company or has during the last twelve (12) months decreased materially, or threatened to decrease or limit materially, its services, supplies or materials for use by the Company or its usage or purchase of the services or products of the Company except for normal cyclical changes related to customers' businesses. None of the Shareholders has any knowledge that any such supplier or customer intends to cancel or otherwise substantially modify its relationship with the Company or to decrease materially or limit such customer's services, supplies or materials to the Company, or such customer's usage or purchase of the Company's services or products, and, to the Shareholders' knowledge, the consummation of the transactions contemplated hereby will not adversely affect the relationship of PHI with any such supplier or customer.
Suppliers and Customers. Schedule 3.19 sets forth any change since January 11, 2000 in (i) the principal suppliers of the Company together with the dollar amount of goods purchased by the Company from each such supplier during each such period, and (ii) the principal customers of the Company during such period together with the dollar amount of goods and/or services sold by the Company to each such customer during each such period. Except as otherwise set forth in Schedule 3.19, to the Knowledge of the Company, the Company maintains good relations with all suppliers and customers as well as with governments, partners, financing sources and other parties with whom the Company has significant relations, and no such party has canceled, terminated or made any threat to the Company to cancel or otherwise terminate its relationship with the Company or to materially decrease its services or supplies to the Company or its direct or indirect purchase or usage of the products or services of the Company.
Suppliers and Customers. Set forth on SCHEDULE 4.1(R) is a list of the ten largest customers of MailKey and its Subsidiaries based on the percentage of revenue represented by those customers for the period ending September 30, 2003. The relationship of MailKey and its Subsidiaries with their suppliers and customers are good commercial working relationships and no material supplier or customer of MailKey and its Subsidiaries has canceled, curtailed or otherwise terminated or threatened to cancel or otherwise terminate, his or its relationship with MailKey or any of its Subsidiaries. MailKey has no Knowledge, or reason to believe, that the Merger or any other transaction contemplated hereby would adversely affect any such material supplier or customer relationship.
