Suppliers and Customers. (a) The Company has adequate sources of supply for its business as currently conducted and as proposed to be conducted. The Company has good relationships with all of its material sources of supply of goods and services and does not anticipate any material problem with any such material sources of supply. (b) The Company has no knowledge that the customer base of the Company might materially decrease.

Suppliers and Customers. Neither the Company nor any Subsidiary has any knowledge of any termination, cancellation or threatened termination or cancellation or limitation of, or any material dissatisfaction with, the business relationship between the Company or any Subsidiary and any material supplier, customer, vendor, customer or client.
Suppliers and Customers. The documents and information ----------------------- supplied by the Company to Parent or any of its representatives in connection with this Agreement with respect to relationships and volumes of business done with its significant suppliers and customers are accurate in all material respects. During the last twelve (12) months, the Company has received no notices of termination or written threats of termination from any of the five (5) largest suppliers or the five (5) largest customers of the Company and its subsidiaries.

Suppliers and Customers. SCHEDULE 3.20 sets forth the Company's ten (10) largest suppliers for calendar year 1998 (excluding utility service providers, capital equipment lessors, and capital lease and equipment providers) and ten (10) largest customers for calendar years 1997 and 1998, including the following information: (i) the revenues received from such customers or amounts paid to such suppliers during such years, and (ii) the identity of such customers or suppliers (except where the Company is prohibited from disclosing the identity of such customers by contract with such customer). The relationships of the Company with such suppliers and customers are good commercial working relationships and, except as set forth on SCHEDULE 3.20, the Shareholders are not aware, and have no reason to believe, that any supplier or customer of material importance to the Company has canceled or otherwise terminated, or threatened to cancel or otherwise to terminate, its relationship with the Company or has during the last twelve (12) months decreased materially, or threatened to decrease or limit materially, its services, supplies or materials for use by the Company or its usage or purchase of the services or products of the Company except for normal cyclical changes related to customers' businesses. None of the Shareholders has any knowledge that any such supplier or customer intends to cancel or otherwise substantially modify its relationship with the Company or to decrease materially or limit such customer's services, supplies or materials to the Company, or such customer's usage or purchase of the Company's services or products, and, to the Shareholders' knowledge, the consummation of the transactions contemplated hereby will not adversely affect the relationship of PHI with any such supplier or customer.
Suppliers and Customers. (a) Section 4.26(a) of the Seller Disclosure Schedule sets forth a true and complete list of (i) the names and addresses of the 20 largest customers of the Business during the 12 months ended December 31, 2015, (ii) the amount for which each such customer was invoiced during such period, (iii) the percentage of the consolidated total sales of the Business represented by sales to each such customer during such period, and (iv) the amount for which each such customer was invoiced during the period from January 1, 2016 through May 31, 2016. Since January 1, 2016 through the date hereof, no member of the Seller Group has received written notice indicating, and to the Knowledge of Seller no customer has threatened, that a customer set forth on Section 4.26(a) of the Seller Disclosure Schedule (A) has ceased or substantially reduced, or will cease or substantially reduce, use of Products or services of the Business or (B) has sought, or is seeking, to reduce the price it will pay for the Products or services of the Business. (b) Section 4.26(b) of the Seller Disclosure Schedule sets forth a true and complete list of (i) the 20 largest suppliers of the Business during for the 12 months ended December 31, 2015 and (ii) the amount for which each such supplier invoiced the relevant entity during such period. Since January 1, 2015, no member of the Seller Group has received written notice indicating, and to the Knowledge of Seller no customer has threatened, that there has been any material adverse change in the price of such goods or services provided by any such supplier, or that any such supplier will not sell goods or services to the Business at any time after the Closing Date on terms and conditions substantially the same as those used in its current sales to the Business, subject to general and customary price increases.
Suppliers and Customers. (a) Section 3.22(a) of the Company Disclosure Schedules sets forth a correct and complete list of (i) the top ten (10) suppliers (each a “Company Top Supplier”) and (ii) the top ten (10) customers (each a “Company Top Customer”), respectively, by the aggregate dollar amount of payments to or from, as applicable, such supplier or customer, during the calendar year 2020. (b) Except as would not, individually or in the aggregate, reasonably be expected to be material to the Company and its Subsidiaries, taken as a whole, since December 31, 2018 through the date of this Agreement, (i) there has been no termination of or a failure to renew the business relationship of the Company or its Subsidiaries with any Company Top Supplier or any Company Top Customer and (ii) no Company Top Supplier or Company Top Customer has notified the Company or any of its Subsidiaries that it intends to terminate or not renew its business. Neither the Company nor any Company Subsidiary has received any written notice, letter, complaint or other communication from any Company Top Supplier or Company Top Customer to the effect that it has materially changed, modified, amended or reduced, or is expected to materially change, modify, amend or reduce, its business relationship with the Company or the Company Subsidiaries in a manner that is materially adverse to the Company and its Subsidiaries, taken as a whole.
