Major Customers and Suppliers. 3.18.(a) Major Customers. Schedule 3.18.(a) contains a list of the twenty (20) largest customers of Company for each of the two (2) most recent fiscal years (determined on the basis of the total dollar amount of net sales) showing the total dollar amount of net sales to each such customer during each such year. Neither Company nor any Shareholder has any knowledge or information of any facts indicating, nor any other reason to believe, that any of the customers listed on Schedule 3.18.(a) will not continue to be customers of the business of Company after the Closing at substantially the same level of purchases as heretofore.

Major Customers and Suppliers. (a) Part 2.14(a) of the Disclosure Schedule sets forth an accurate and complete list of each customer who was one of the five largest sources of revenues for the Acquired Companies for each of 2019 and 2020, based on amounts paid or payable as of the date of this Agreement (each, a “Major Customer”). No Acquired Company has any pending material dispute with any Major Customer. Since January 1, 2018 no Acquired Company has received any written notice or, to the Knowledge of the Company, other communication from any Major Customer to the effect that such Major Customer likely will not continue as a customer of any of the Acquired Companies or to the effect that such Major Customer intends to terminate or materially modify any existing Contract with any of the Acquired Companies in any manner materially adverse to any Acquired Company, including by materially reducing the scale of the business conducted with, any of the Acquired Companies. To the Knowledge of the Company, the Acquired Companies have satisfied all material commitments, as and when such material commitments have been required to be satisfied, under each Contract with a Major Customer with respect to Company Products, including commitments relating to delivery schedules and product performance.

No Acquired Company has received any written notice or, to the Knowledge of the Company, other communication from any Major Customer to the effect that such Major Customer will likely not continue as a customer of any of the Acquired Companies or to the effect that such Major Customer intends to terminate, or materially reduce the scale of, the business it conducts with any of the Acquired Companies.

No Acquired Company has any pending material dispute with any Major Customer. To the knowledge of the Company, no Acquired Company has received any written notice from any Major Customer to the effect that such Major Customer will not continue as a customer of any of the Acquired Companies or to the effect that such Major Customer intends to terminate or materially modify any existing Contract with any of the Acquired Companies, including by materially changing the terms of, or reducing the scale of the business conducted with, any of the Acquired Companies. The Acquired Companies have satisfied all material commitments under each Contract with a Major Customer with respect to Company Products that are currently under development, including commitments relating to delivery schedules and product performance.

Major Customers and Suppliers. Schedule 4.22 contains a list of the ten (10) largest customers and the ten (10) largest suppliers of the Liquid Finishing Business for the year ended December 31, 2013, and includes the net sales or purchases by the Liquid Finishing Business attributable to each such customer or supplier for such period. No customer or supplier listed in Schedule 4.22, nor any other material customer or supplier of the Liquid Finishing Business, has cancelled or otherwise terminated (or, to Sellers’ Knowledge, threatened to cancel or terminate) its relationship with the Liquid Finishing Business or notified any Asset Selling Subsidiary or any Acquired Subsidiary in writing of any potential material change to its arrangements with the Liquid Finishing Business. To Sellers’ Knowledge, no customer or supplier listed in Schedule 4.22, nor any other material customer or supplier of the Liquid Finishing Business, intends to cease doing business with the Liquid Finishing Business or decrease the amount or nature of business it does with the Liquid Finishing Business in any material respect.
Major Customers and Suppliers. Schedule 5.18 contains a list of the twenty largest customers and the ten largest suppliers of the Business for the year ended March 31, 2011 and the two month period ended May 31, 2011, and includes the sales or purchases by Seller attributable to each such customer or supplier for each such period. To Seller’s Knowledge, no customer or supplier listed on Schedule 5.18, nor any other material customer or supplier of the Business intends to cease doing business with Seller or decrease the amount or nature of business it does with Seller in any material respect. Seller has not received any notice that any (i) customer intends to renegotiate its current price structure or demand or request a discount on any Products, or (ii) supplier intends to increase the price of any items that such supplier supplies to Seller in connection with the Business.
Major Customers and Suppliers. Section 3.21 of the Company Disclosure Schedule sets forth a true, correct and complete list of the top ten customers of the Company and the Company Subsidiaries for the fiscal year ended December 31, 2010 (determined on the basis of the consolidated total dollar amount of net sales) showing the dollar amount of net sales from each such customer during such period. Section 3.21 of the Company Disclosure Schedule also sets forth a list of the top ten suppliers of the Company and the Company Subsidiaries (determined on the basis of the consolidated total dollar volume of purchases during such fiscal year) showing the dollar amount of the purchases from each such supplier during such period. Since December 31, 2010 to the date of this Agreement, there has been no termination, cancellation or material curtailment of the business relationship of the Company or any Company Subsidiary with any such customer or supplier or group of affiliated customers or suppliers nor has any such customer, supplier or group of affiliated customers or suppliers provided notice (written or oral) that it will so terminate, cancel or materially curtail its business relationship with the Company or any Company Subsidiary.
