Not for Resale. Consultant represents that it is acquiring the Securities for investment for its own account and not with a view to, or for resale in connection with, the distribution or other disposition thereof. Consultant agrees that it will not, directly or indirectly, offer, transfer, sell, assign, pledge, hypothecate or otherwise dispose of (each a "Transfer") any of the Securities unless such Transfer complies with the provisions of this Agreement and (i) the Transfer is pursuant to an effective registration statement under the Securities Act of 1933, as amended, and the rules and regulations in effect thereunder (the "Securities Act"), or (ii) counsel for Consultant shall have furnished the Company with an opinion, reasonably acceptable to the Company, that no such registration is required because of the availability of an exemption under the Securities Act.

Not for Resale. 5.1 Unless otherwise agreed by TPG, the Customer may not resell or re-supply the Service.
Not for Resale. Nor for resale Product will only be used for Resellers internal demonstration. Such Products shall not be offered for resale unless otherwise agreed to in writing signed by an authorized representative of Malwarebytes.
Not for Resale. 5.1 Unless otherwise agreed by iiNet, the Customer may not resell or re-supply the Service.

It is hereby understood and agreed by the User that it shall not in any way be entitled to sell, rent, lease, lend, loan, market, distribute, advertise, sublicense, assign, grant a security interest in, or otherwise transfer rights, in whole or in part, to the Software or any part thereof. The User further agrees that it shall not be entitled to redistribute, retransmit or redirect the Software or any part thereof to any third party, including to any of its affiliate(s), sub-contractors or clients, unless it obtains the prior written approval of LeddarTech.
Not for Resale. The Software Product is “Not for Sale” or “NFR,” and notwithstanding other sections of this XXXX, Licensee’s use of the Software Product is limited to Licensee’s own use including demonstration, test, or evaluation purposes and Licensee may not publish, display, disclose, or, except as specifically provided herein, sell or transfer (for value or otherwise) or copy the Software Product.
Not for Resale. A. Except as described in Section 5(B) below, Customer represents that it does not operate as an internet service provider, is not a telecommunications carrier, reseller or shared tenant service provider registered with the FCC, and the Wireless Services are not for resale. If Customer becomes an internet service provider, telecommunications carrier, reseller or shared tenant service provider registered with the FCC or an international call center, SIMETRY may suspend Wireless Service, terminate this Agreement or revise Customer’s pricing and terms to reflect Customer’s reseller status retroactively to the date that Customer’s status changed.
Not for Resale. If this SOFTWARE is labeled “Not For Resale,” notwithstanding any term to the contrary in this Agreement, your license permits use only if you are a current CITRIX authorized distributor or reseller and then only for demonstration, test, or evaluation purposes in support of your customers. Not for Resale SOFTWARE may not be used for customer training. Note that Not for Resale SOFTWARE disables itself on the “time-out” date identified on the SOFTWARE packaging.
