Engagement as Independent Contractor. The Company herewith engages Agent as an Independent Contractor to serve as a Benefits Specialist with the Company. Agent agrees to serve as such under the terms and conditions herein set forth. Agent shall receive a Form 1099 each year and shall be responsible for his tax obligations to all Federal and State tax authorities.
Engagement as Independent Contractor. The Company hereby retains Consultant and Consultant hereby accepts such retention, as an independent contractor to provide the Consultant Services (as defined below). Consultant shall be and at all times relevant hereto remain an independent contractor of the Company.

Nothing contained in this Agreement shall be construed to create a joint venture, partnership, association, or other affiliation between the parties hereto, it being specifically agreed that the relationship is and shall remain that of independent parties to a contractual relationship as set forth in this Agreement. Bank shall neither have nor exercise any specific control or direction over the particular methods by which Xxxxxxx Properties shall perform the services required by this Agreement. Neither party shall be liable for the debts or obligations of the other except as otherwise specifically provided in this Agreement. Bank will not withhold on compensation paid to Xxxxxxx Properties for income tax or any other withholding pursuant to any law or requirement of any governmental body. Xxxxxxx Properties shall not hold itself out as an agent of Bank and will file all governmental reports including but not limited to federal and state tax returns consistent with being an independent contractor.
Engagement as Independent Contractor. A. AccuHealth engages Dr. Freed and Dr. Freed accepts engagxxxxx xxxh AccxXxxxxx xs an independent contractor to render medical director consulting services at times and places set forth immediately below. It is agreed that, in the performance of services under this Agreement, Dr. Freed shall at all times act as ax xxxxxxxdent contractor with respect to AccuHealth, and not as an agent of AccuHealth. Nothing contained in this Agreement shall be construed to create a joint venture, partnership, association, or other affiliation between the parties, it being specifically agreed that the relationship is and shall remain that of independent parties to a contractual relationship as set forth in this Agreement. AccuHealth shall neither have nor exercise any specific control or direction over the particular methods by which Dr. Freed shall perform the services xxxxxxxx by this Agreement. Dr. Freed shall set his own days in wxxxx xx xill provide services pursuant to this Agreement, but shall notify AccuHealth at least one full week in advance of the days in the following week in which he will work. Of this time, AccuHealth will expect that Dr. Freed will work 4 days per month. Xx XxxxXealth requests additional time each week beyond the 4 days per month, it shall reimburse Dr. Freed at a retainer rate to be nexxxxxxxx in good faith.
Engagement as Independent Contractor. The Company hereby engages Contractor as a consultant. Contractor hereby accepts such engagement and agrees to provide the services of Xx. Xxxxxxxxx X. Briggs ("Xx. Xxxxxx") as Chief Executive Officer of the Company. The Contractor will be responsible for all payments of salary and benefits to Xx. Xxxxxx for his services as Chief Executive Officer of the Company, it being understood that Xx. Xxxxxx is employed by the Contractor and that, accordingly, Xx. Xxxxxx will look solely to Contractor for all wages, health and other benefits, social security, unemployment and workers' compensation and state disability insurance, if any, to which he is entitled.
Engagement as Independent Contractor. The Employer hereby engages L&W as an independent contractor and L&W hereby accepts the engagement as an independent contractor to arrange to perform for the Employer certain administrative services, as specified and delegated herein, in conjunction with the operation of the Plans identified in Section 1.02. L&W is, and shall remain, an independent contractor with respect to the services being performed hereunder and shall not for any purpose be deemed an employee or agent of the Employer; nor shall L&W and the Employer be deemed partners, joint ventures, or the like.

Consultant has no authority (and will not hold Consultant’s self out as having authority) to bind Company, and Consultant will not make any agreements or representations on Company’s behalf without Company’s prior written consent. Consultant is not an honorary, advisory, or emeritus director of Company, or a director by deputization, and is not entitled to attend meetings of the Board or its committees, debate Board or committee matters, or vote on matters submitted to the Board or its committees. Consultant may attend Board or committee meetings at the invitation of the Chairman.
