VESTCOM has the meaning set forth in the preamble to this Agreement.
VESTCOM means the following Obligors: Vestcom International, Inc., Vector Investment Holdings, Inc., Vestcom Mid-Atlantic, Inc., Vestcom Internet Solutions Group, Inc., Electronic Imaging Services, Inc. d/b/a Vestcom Retail Solutions Group, Vestcom Investments, Inc., Vestcom Retail Solutions Group, Inc., Vestcom Northwest, Inc., d/b/a/ Xxxxx Direct, Vestcom New England, Inc., Vestcom Massachusetts, Inc. d/b/a Vestcom New England, Vestcom Connecticut, Inc. d/b/a Vestcom New England, Vestcom Wisconsin, Inc. d/b/a Vestcom Midwest, Vestcom St. Louis, Inc. part d/b/a Vestcom Midwest part d/b/a VRSG part d/b/a Creative Data Services and Business Mail Express, 3013439 Nova Scotia Incorporated, 405087 N.B. Inc., Vestcom Ontario Inc. d/b/a Vestcom Canada (Ontario), Lirpaco Inc. d/b/a Vestcom Canada, and COS Information Inc. d/b/a Vestcom Canada (Quebec, Canada).
VESTCOM or the "Company"). It is not intended to change your employment agreement in any way except as expressly set forth herein. Accordingly, the change in control benefits under your current employment agreement are superseded by the following provisions.

VESTCOM or the "Company") and sets forth the terms and conditions of that employment. This offer shall remain open to you until 4:00 p.m. on Friday, September 26, 1997. Vestcom hereby offers you full-time employment as Chief Operating Officer commencing on or about October 13, 1997 with a monthly salary of $16,667 (which would be equivalent to $200,000 on an annualized basis). You will also be entitled to a guaranteed bonus of 35-50% of your annual salary each year based on your performance and Vestcom's performance (or perhaps more if both your performance and that of the Company is outstanding). During the period of your employment, you shall devote your entire working time for or at the direction of Vestcom or its affiliates, use your best efforts to complete all assignments, and adhere to Vestcom's procedures and policies, including its Policies and Standards of Business Conduct. You will report to Xxxx Xxxxxx, the President and Chief Executive Officer. The term of this Agreement and your employment shall be two (2) years, unless earlier terminated for "cause", with such renewals or extensions as may be agreed upon in writing from time to time by you and the Company. In the event that the Company decides not to continue your employment at the end of the two year term or at any time thereafter, it shall give you at least four (4) months written notice prior to the termination date.
VESTCOM means VESTCOM International, Inc., a corporation organized and existing under the laws of the State of New Jersey, and any successor corporation.
VESTCOM means CB Velocity Holdings, LLC, a Delaware limited liability company.
VESTCOM or the "Company") and sets forth the terms and conditions of that employment. Vestcom hereby offers you full-time employment as Executive Vice President and Chief Financial Officer commencing on or about this date with a monthly salary of $15,000 (which would be equivalent to $180,000 on an annualized basis). During the period of your employment with Vestcom, after the IPO, you will be entitled to all of Vestcom's then current customary employee benefits, subject to plan eligibility requirements, including its car allowance for executives, executive medical plan and any bonus plan adopted after the IPO for executives. Upon consummation of the initial public offering, you will be entitled to receive a stock option pursuant to the Company's employee stock option plan for 50,000 options at the initial public offering price. The option will vest over a four-year period in accordance with the standard conditions of the Company's employee stock option plan.
