To the extent permitted by law, in no event will Accenture’s aggregate liability to Supplier for all claims exceed the total price payable by Accenture to Supplier under the Agreement.
Supplier will without unreasonable delay: (i) correct such deficiencies at its own expense; (ii) permit Accenture, or its duly authorized representatives, to assess Supplier’s security-related activities that are relevant to the Agreement; and (iii) timely complete a security questionnaire from Accenture on a periodic basis upon Accenture’s request.
Supplier will act in a manner consistent with the ethical and professional standards of Accenture as described in the Accenture Supplier Standards of Conduct, including prompt reporting of unlawful, fraudulent or unethical conduct.
Supplier indemnifies Accenture against any claim from third parties in respect of damage caused by (i) Supplier’s negligence or that of its personnel, or (ii) Supplier breaching the Agreement.
