Examples of Senior Supervisory Personnel in a sentence
For the purposes of Section 7.1, “Knowledge” is defined as when Seller's Senior Supervisory Personnel responsible for the management and daily operation of the Assets have actual knowledge of the relevant subject matter, without any duty of inquiry.
For the purposes of this Section 4.3, Gross Negligence and/or Willful Misconduct of Secondee as a result of interference of the Employer in the performance of the Services in violation of this Secondment Agreement shall be deemed Gross Negligence and/or Willful Misconduct of Employer’s Senior Supervisory Personnel.
Notwithstanding the previous sentence, Seller group shall be liable for and indemnify Subsidiary from and against all claims arising out of personal injury, illness, death, or property loss of damage by any third party, to the extent attributable to the Gross Negligence (as defined in the JOA) of Seller’s Senior Supervisory Personnel (to be defined in the Transitional Services Agreement).
In this Agreement, the knowledge, information, belief or awareness of a Party consists only of the actual knowledge or awareness, as the case may be, of the Senior Supervisory Personnel of such Party and does not include knowledge, information belief or awareness of any other Person or any constructive or imputed knowledge.
For all purposes of this Agreement, references to the knowledge of a Party and to matters of which a Party is aware refer to the actual knowledge of the Senior Supervisory Personnel of that Party and its Affiliates.
