The provisions of the Security Instruments are effective to create in favor of the Administrative Agent for the benefit of the Secured Parties a legal, valid and enforceable first-priority Lien (subject to Liens permitted by Section 7.01) on all right, title and interest of the respective Loan Parties in the Collateral described therein.
Debtor hereby authorizes Secured Party to execute or record (or both) such UCC-1 Financing Statements, Security Instruments (as defined in the Note) and to take whatever other actions are deemed reasonably necessary or advisable by Secured Party to perfect and continue Secured Party’s security interest in the Collateral.
