Other Agreements and Instruments. Each of the Parties agrees to execute or cause to be executed by the appropriate parties and deliver, as appropriate, such other agreements, instruments and other documents as may be necessary or desirable in order to effect the purposes of this Agreement and the Inter-Company Agreements.
Other Agreements and Instruments. The Borrower acknowledges and represents that the Borrower Documents and all other agreements and instruments securing the Bond and executed and delivered in contemplation of the issuance and delivery of the Bond shall be valid and legally binding on the Borrower and shall inure to the benefit of the Lender or any subsequent Holder of the Bond. Other Agreements and Instruments. The Transferring Member and transferee have executed and delivered to the Board such other agreements and instruments, in form and substance satisfactory to the Board, as the Board may deem necessary or advisable to effect such assignment or substitution;
Other Agreements and Instruments. (a) The Registration Rights Agreement (the "Registration Rights Agreement") attached hereto as Exhibit F shall have been executed and delivered by the Company and the Purchasers.
(b) The Put and Call Agreement attached hereto as Exhibit G shall have been executed and delivered by the Company and Southeast Interactive Technology Fund I, LLC.
(c) The Warrants in the form attached hereto as Exhibit H shall have been executed and delivered by the Company to each of the Purchasers.
