Mortgaged Property Support Documents means with respect to any real property subject to a Mortgage, the deliveries and documents described on Schedule 1.01(e) attached hereto.

  • Notwithstanding the foregoing, the Administrative Agent shall not enter into any Mortgage in respect of any real property of any Loan Party that is not subject to a Mortgage as of the Closing Date prior to the date that is twenty (20) Business Days after the date on which the Administrative Agent has made available to the Lenders (which may be delivered electronically) the information required in subsection (d) of the definition of Mortgaged Property Support Documents.

  • With respect to real property (other than Excluded Property) acquired after the Closing Date, the Loan Parties shall have one hundred twenty (120) days after such acquisition (or such later time as agreed by the Administrative Agent) to deliver Mortgaged Property Support Documents with respect thereto.

  • Except to the extent covered in Section 6.18, the Administrative Agent shall have received, in form and substance satisfactory to the Administrative Agent, all Mortgaged Property Support Documents with respect to each Mortgaged Property.


More Definitions of Mortgaged Property Support Documents

Mortgaged Property Support Documents means with respect to any owned real property subject to a Mortgage, the following, each of which shall be in form and substance reasonably satisfactory to the Administrative Agent: (a) to the extent requested by the Administrative Agent, a favorable opinion of counsel to the Loan Parties covering such matters as to the applicable Mortgage as the Administrative Agent may reasonably request, (b) a mortgagee title policy (or binder therefor) covering the Administrative Agent’s interest under the Mortgage, in a form and amount and by an insurer reasonably acceptable to the Administrative Agent, which must be fully paid on such effective date of the Mortgage, (c) such assignments of leases, rents, estoppel letters, attornment agreements, consents, waivers and releases as the Administrative Agent may require with respect to other Persons having an interest in the real property, (d) to the extent requested by the Administrative Agent, a current, as-built survey of the real property, containing a metes and bounds property description and flood plain certification, and certified by a licensed surveyor reasonably acceptable to the Administrative Agent, (e) to the extent requested by the Administrative Agent, a current appraisal of the Real Estate of such real property complying with the requirements of FIRREA by a third party appraiser reasonably acceptable to the Administrative Agent, (f) to the extent requested by the Administrative Agent, a Phase I (and to the extent appropriate, Phase II) environmental assessment report, prepared by an environmental consulting firm reasonably satisfactory to the Administrative Agent, and accompanied by such reports, certificates, studies or data as Administrative Agent may reasonably require, (g) the results of title searches, (h) (x) completed “Life-of-Loan” Federal Emergency Management Agency Standard Flood Hazard Determination with respect to each Mortgaged Property (together with a notice about special flood hazard area status and flood disaster assistance duly executed by each Loan Party relating thereto and (y) flood insurance in an amount, with endorsements and by an insurer reasonably acceptable to the Administrative Agent, if the real property is within a flood zone; and (i) such other documents, instruments, reports, surveys and information as may be reasonably requested by the Administrative Agent in its reasonable discretion, including, without limitation, such as may be necessary to comply with FIRREA.
Mortgaged Property Support Documents means, for each Mortgaged Fee Property, (a) the Title Policy pertaining thereto, (b) such surveys and flood hazard certifications thereof as the Administrative Agent may require prepared by recognized experts in their respective fields selected by the Borrower and reasonably satisfactory to the Administrative Agent provided that if the Title Policy for any Mortgaged Fee Property does not contain a blanket survey exception and contains survey coverage and survey related endorsements which are reasonably acceptable to the Administrative Agent, then no survey shall be required for such Mortgaged Fee Property, (c) as to the Mortgaged Properties located in a flood hazard area, such flood hazard insurance as the Administrative Agent may require, (d) such lessee’s affidavits as the Administrative Agent may reasonably require with respect to any such property leased to a third party, (e) such opinions of local counsel with respect to the Mortgages, as applicable, as the Administrative Agent may reasonably require, and (f) such other documentation as the Administrative Agent may reasonably require, in each case as shall be in form and substance reasonably acceptable to the Administrative Agent.

Mortgaged Property Support Documents means, with respect to any Real Estate Asset constituting, or intended to constitute, Collateral, such third party consents, intercreditor agreements, mortgagee title insurance policies (in amounts and with endorsements reasonably acceptable to the Administrative Agent), surveys, appraisals, environmental reports, flood hazard certifications and, evidence of flood insurance (if such insurance is required by Applicable Law), and such other mortgage-related documents as the Administrative Agent or the Collateral Agent may reasonably request in connection with the Mortgage of such Real Estate Asset and its constituting Collateral.
Mortgaged Property Support Documents means, for each Mortgaged Property, (i) the title commitment pertaining thereto (in the case of a Collateral Diligence Enhancement Event) and the Title Policy pertaining thereto (in the case of a Trigger Event), (ii) surveys (unless the title insurance company will insure over the absence of survey), flood hazard certifications and environmental assessments thereof in form and substance satisfactory to Administrative Agent, prepared by recognized experts in their respective fields acceptable to the Administrative Agent, (iii) opinions of local counsel with respect to the Mortgages in form and substance satisfactory to the Administrative Agent (in the case of a Trigger Event), and (iv) such other documentation as the Administrative Agent may reasonably require, in each case as shall be in form and substance reasonably acceptable to the Administrative Agent.
