Each Loan Party shall from time to time execute, deliver and file, any financing statements, security agreements, collateral assignments, notices, control agreements, or other documents to perfect or give the highest priority to Collateral Agent’s Lien on the Collateral, in each case, as required by the Guaranty and Security Agreement and the other Security Documents.
For each Equity Interest that is certificated, Collateral Agent shall have received all originals certificates evidencing all Equity Interest pledged pursuant to Guaranty and Security Agreement (if applicable), together with any transfer powers or other instruments of transfer, in form and substance reasonably acceptable to Collateral Agent.
Borrower shall, and shall cause each Loan Party to, from time to time procure any instruments or documents as may be reasonably requested by Collateral Agent, and take all further action that may be necessary, or that Collateral Agent may reasonably request, to perfect and protect the Liens granted by the Guaranty and Security Agreement and the other Security Documents.
The execution, delivery and performance thereof and the pledge of and granting of a security interest in the Pledged Securities under the Guaranty and Security Agreement do not contravene any provision of the Organizational Documents of the issuer of such Equity Interests.
