Relative TSR Percentile Rank definition

Relative TSR Percentile Rank means the percentile rank of Lydall’s TSR for the Performance Period relative to the TSR of the companies in the Peer Group.
Relative TSR Percentile Rank shall be determined by the Committee and means the percentile rank of the Company’s TSR for a period (the “Measurement Period”), which period shall be determined as follows: (i) other than in the case of Sections 2(b)(ii), 2(b)(iii) or (c), the Performance Period, (ii) in the case of Sections 2(b)(ii)(1), 2(b)(iii) and 2(c), during the Performance Period but only through the last full trading day prior to the Change in Control Date, and (iii) in the case of Section 2(b)(ii)(2), during the Performance Period but only through the last full trading day prior to the date upon which the Grantee ceases to be employed, in any case relative to the TSR of the companies (the “Peer Group”) set forth below.
Relative TSR Percentile Rank means the percentile ranking of the Corporation’s TSR for the applicable Performance Period as compared to the TSRs achieved by the companies comprising the Comparison Group as of the last day of the applicable Performance Period.

  • Relative TSR Percentile Rank is determined by ranking the Company and all other S&P 500 Companies according to their respective Total Shareholder Return for the Performance Period.

  • The Company’s ranking is then divided by the total number of entities within the S&P 500 Companies to get the Relative TSR Percentile Rank.

  • If a Change of Control occurs subsequent to the last day of the Performance Period, but prior to calculation of the Relative TSR Percentile Ranking, then PSUs shall be converted to RSUs only after such calculation(s), provided, however, in the event that the Company has failed to achieve the Minimum Three-Year Relative TSR Percentile Rank for the Performance Period, then all PSUs shall be forfeited regardless of the Change of Control occurring after the end of the Performance Period.

More Definitions of Relative TSR Percentile Rank

Relative TSR Percentile Rank means the percentile within the Index Constituent Companies (as defined below) that the Company’s Total Shareholder Return would have for the Measurement Period.
Relative TSR Percentile Rank means the percentile rank of the TSR of the Company relative to the TSR of the companies in the Peer Group, in each case, for the PSU Performance Period, equal to the product of (i) the quotient of (a) the numeric rank of Company’s TSR relative to the Peer Group, where the lowest TSR in the Peer Group is ranked number 1, and (b) the total number of companies in the Peer Group plus 1, rounded to the nearest hundredth, and (ii) 100. “TSR” as of a given date means the percentage change in the value of company’s stock from the Beginning Stock Price to the Ending Stock Price calculated as the quotient of (i) (a) the applicable Ending Stock Price minus the applicable Beginning Stock Price, plus (b) dividends paid with respect to a record date occurring during the PSU Performance Period, divided by (ii) the applicable Beginning Stock Price. Earned PSUs: The number of PSUs earned, if any, subject to vesting (“Earned PSUs”), will be based on the achievement of the PSU Performance Objectives for the PSU Performance Period, as determined in accordance with the following table and as adjusted by the Relative TSR Modifier. Relative TSR Percentile Rank means the percentile rank of the TSRs among the Peer Group Members (as defined below) for the Performance Period. The Company’s Relative TSR Percentile Rank will be calculated by first determining the percentile rank of the Peer Group Members, excluding the Company, ranked from highest to lowest according to each such company’s cumulative TSR over the Performance Period. Then, if the Company’s TSR is equal to or exceeds the highest TSR among the Peer Group Members, the Company’s percentile will be equal to 100th. If the Company’s TSR is equal to or below the lowest TSR among the Peer Group Members, the Company’s percentile will be equal to zero. Otherwise, the Company’s Relative TSR Percentile Rank will be determined based on interpolation as set forth below.

The Committee will determine Relative TSR Percentile Rank by ranking the TSR of the Company and the companies in the peer group (with the company having the lowest TSR being ranked number 1, the company with the second-lowest TSR being ranked number 2, and so on) and determining the Company’s percentile rank based upon its position in the list by dividing the Company’s position by the total number of companies (including the Company) in the Peer Group and rounding the quotient to the nearest hundredth.
