Performance Period definition

Performance Period means the one or more periods of time, as the Committee may select, over which the attainment of one or more Performance Goals will be measured for the purpose of determining a Participant’s right to, and the payment of, a Performance Compensation Award.
Performance Period means one or more periods of time, which may be of varying and overlapping durations, as the Committee may select, over which the attainment of one or more Performance Factors will be measured for the purpose of determining a Participant’s right to, and the payment of, a Performance Award.
Performance Period means the period of time selected by the Board over which the attainment of one or more Performance Goals will be measured for the purpose of determining a Participant’s right to and the payment of a Stock Award or a Performance Cash Award. Performance Periods may be of varying and overlapping duration, at the sole discretion of the Board.

Examples of Performance Period in a sentence

  • In the event the employment of the Participant with the Company or its Subsidiaries is terminated by reason of death or Disability (as defined by the U.S. Social Security Administration), to the extent that the Performance Period is not yet complete as of such termination, the Target Number of PSUs held by the Participant at the date of termination and still subject to the Performance Period shall immediately become fully vested as of the date of termination.

  • At the time of award, the Committee, in its sole discretion, shall establish a Performance Period and the Performance Goals to be achieved during the applicable Performance Period with respect to an Award of Performance Units.

  • In addition, to the extent that the Performance Period is complete as of such termination, the number of PSUs that have vested based on performance shall immediately become fully vested as of such date of termination..

  • Following the conclusion of each Performance Period, the Committee shall determine the extent to which performance goals have been attained for such period as well as the other terms and conditions established by the Committee.

  • In the event such Change in Control occurs after the completion of any of the Performance Period(s), the number of shares that shall be vested as of the date of the Change in Control shall be calculated in accordance with Section 2 to the extent that the Performance Period is complete.


More Definitions of Performance Period

Performance Period means the period of time during which the performance goals must be met in order to determine the degree of payout and/or vesting with respect to an Award.
