In the event the employment of the Participant with the Company or its Subsidiaries is terminated by reason of death or Disability (as defined by the U.S. Social Security Administration), to the extent that the Performance Period is not yet complete as of such termination, the Target Number of PSUs held by the Participant at the date of termination and still subject to the Performance Period shall immediately become fully vested as of the date of termination.
At the time of award, the Committee, in its sole discretion, shall establish a Performance Period and the Performance Goals to be achieved during the applicable Performance Period with respect to an Award of Performance Units.
