Rating Downgrade Redemption Amount definition

Rating Downgrade Redemption Amount means the Outstanding Principal Amount of each Note immediately prior to redemption of the Notes pursuant to Condition 8.8 and this sub-paragraph 13(D). For the avoidance of doubt, if the Noteholder Put Date or, as the case may be, the Automatic Put Date is postponed in accordance with the final paragraph of this sub- paragraph 13(D), the Outstanding Principal Amount of each Note will be reduced in accordance with sub-paragraph 13(B) to reflect any Principal Amount Reduction occurring during such period of postponement.Payment of the Ratings Downgrade Early Redemption Amount in respect of all of the Notes in accordance with the foregoing provisions shall constitute full and final discharge of all of the Issuer's obligations inrespect of the Notes.Notwithstanding the provisions of this sub- paragraph 13(D), if an Event Determination Date has occurred prior to any Ratings Downgrade Redemption Date and the date on which a Cash Settlement Amount is determined in respect of the relevant Credit Event and Reference Obligation (as defined in the Default Swap) has not occurred on or before such Ratings Downgrade Redemption Date, such Ratings Downgrade Redemption Date shall be postponed in accordance with paragraph 11 above.No other Optional Redemption: (E) Conditions 8.6, 8.7, 8.9 and 8.11 will notapply to the Notes.Early Redemption: (F) The Notes shall be redeemed if, at anytime, the aggregate Outstanding Principal Amount thereof is reduced to zero. Rating Downgrade Redemption Amount means, in respect of each Note, the Outstanding Nominal Amount of each Note provided that if the Realisation Amount in respect of each Note, as defined below, is less than the Outstanding Nominal Amount of each Note then the Rating Downgrade Redemption Amount shall be the Realisation Amount and any shortfall shall be borne by the Noteholder and the Issuer shall have no obligation to pay any additional amount. Related to Rating Downgrade Redemption Amount

  • Monthly Redemption Amount means, as to a Monthly Redemption, one seventh of the original principal amount at 110% of such principal amount, plus accrued but unpaid interest, liquidated damages and any other amounts then owing to the Holder in respect of this Note.

  • Final Redemption Amount means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, the relevant Final Terms;

  • Early Redemption Amount means in respect of each Note in circumstances where such Notes are redeemed early pursuant to Conditions 7(b) or (c), the outstanding principal amount of each Note, unless otherwise specified in the Final Terms or Series Offering Document, as applicable;

  • Automatic Early Redemption Amount means the Automatic Early Redemption Amount specified in the relevant Final Terms.

  • Triggering Redemption Amount means, for each share of Preferred Stock, the sum of (a) the greater of (i) 130% of the Stated Value and (ii) the product of (y) the VWAP on the Trading Day immediately preceding the date of the Triggering Event and (z) the Stated Value divided by the then Conversion Price, (b) all accrued but unpaid dividends thereon and (c) all liquidated damages and other costs, expenses or amounts due in respect of the Preferred Stock.

  • Optional Redemption Pricing Date means a Valuation Date on which a Redemption Order is determined to be valid and accepted by or on behalf of the Issuer in accordance with the terms of the LS Operating Procedures Agreement.

  • Final Redemption Date means for each Series, the final redemption date specified in the Final Terms for such Series.

  • Early Redemption Level (k) means the Early Redemption Factor (k) x R (initial).

  • Special Event Redemption Price has the meaning specified in Section 11.2.

  • Call and Put Redemption Amount means GBP 1 per Preference Share.
