Optional Early Termination Date definition

Optional Early Termination Date means the date established by the Tender and Paying Agent, acting upon instructions of the Fund pursuant to the Tender and Paying Agent Agreement, for termination of the VRDP Purchase Agreement upon the occurrence of an Optional Early Replacement Event, which date shall be not less than 16 days nor more than 30 days following such Optional Early Replacement Event.
Optional Early Termination Date. (unless the parties otherwise agree at such time) shall be the Exchange Business Day specified in the Termination Notice.
Optional Early Termination Date has the meaning specified in Section 3.2(a).

The terms of the Supplemental TRS Agreement were determined after arm’s length negotiation between CSH Capital HK and Nomura Singapore having considered the reasons and benefits above. Further, since the TRS Agreements were entered into with the same parties or their associates within 12 months, the transactions contemplated under the TRS Agreements shall be aggregated under Rule 14.22 of the Listing Rules. As one or more of the applicable percentage ratios (as defined under Rule 14.07 of the Listing Rules) in relation to the TRS Agreements in aggregate exceeds 5% but is less than 25%, the entry of the TRS Agreements constitutes a discloseable transaction for the Company under the Listing Rules and is subject to the reporting and announcement requirements.
