Optional Early Termination Date definition

Optional Early Termination Date means the date established by the Tender and Paying Agent, acting upon instructions of the Fund pursuant to the Tender and Paying Agent Agreement, for termination of the VRDP Purchase Agreement upon the occurrence of an Optional Early Replacement Event, which date shall be not less than 16 days nor more than 30 days following such Optional Early Replacement Event.
Optional Early Termination Date. (unless the parties otherwise agree at such time) shall be the Exchange Business Day specified in the Termination Notice.
Optional Early Termination Date has the meaning specified in Section 3.2(a).

  • Either party shall have the right (but not the obligation) to terminate this Transaction, effective as of 15FEB06 or if such day is not a Business Day, on the next succeeding Business Day (the "Optional Early Termination Date"), by providing the other party with notice of its exercise of this right five Business Days prior to the Optional Early Termination Date.

  • Cash Settlement: Inapplicable Special Provisions: In the event that the Exercising Party exercises its Option pursuant to the foregoing terms and conditions, the amounts payable by the parties on the Optional Early Termination Date shall be calculated as if the Optional Early Termination Date were the final Payment Date for this Transaction.


More Definitions of Optional Early Termination Date

Optional Early Termination Date means 15 February 2012 and every second (2nd) year thereafter, from (and including) 15 February 2014 to (and including) 15 February 2040, subject to adjustment in accordance with the Modified Following Business Day Convention.

Optional Early Termination Date set out above is not expected to have overall material financial impact to the Group. The terms of the Supplemental TRS Agreement were determined after arm’s length negotiation between CSH Capital HK and Nomura Singapore having considered the reasons and benefits above. The Directors consider the terms of the Supplemental TRS Agreement are on normal commercial terms and are fair and reasonable and the Supplemental TRS Agreement is in the interests of the Group and its shareholders as a whole. Any amount payable by CSH Capital HK under the Supplemental TRS Agreement will be satisfied by the internal resources of the Group. The Directors consider that the entry of the Supplemental TRS Agreement constitutes a material change to the terms of the TRS Agreement (Thriving Achieve) and therefore the Company shall re-comply with the requirements under Rule 14.36 of the Listing Rules. Further, since the TRS Agreements were entered into with the same parties or their associates within 12 months, the transactions contemplated under the TRS Agreements shall be aggregated under Rule 14.22 of the Listing Rules. As one or more of the applicable percentage ratios (as defined under Rule 14.07 of the Listing Rules) in relation to the TRS Agreements in aggregate exceeds 5% but is less than 25%, the entry of the TRS Agreements constitutes a discloseable transaction for the Company under the Listing Rules and is subject to the reporting and announcement requirements.

Related to Optional Early Termination Date

  • Early Termination Date means the date determined in accordance with Section 6(a) or 6(b)(iv).

  • Early Termination Amount means, in respect of any Note, its principal amount or such other amount as may be specified in, or determined in accordance with, these Conditions or the relevant Final Terms;

  • Early Termination Notice Date Any date as of which the aggregate Stated Principal Balance of the Mortgage Loans (including REO Mortgage Loans) is less than 1.0% of the sum of the aggregate Cut-Off Date Balance of the Mortgage Pool initially included in the Trust Fund.

  • Early Termination Event has the meaning specified in Section 9.2.
