Indian Employees definition

Indian Employees means the employees of the Indian Seller Subsidiary listed in Annexure 4 of the Indian Foreign Acquisition Agreement. All other capitalized terms used but not otherwise defined herein shall have the meanings set forth in the Acquisition Agreement. Each Seller Party and Purchaser have determined that certain of the Indian Transferred Assets are Nonassignable Assets since the debonding process under Indian Law in respect of such Assets has not been completed. As a result, and for certain other purposes, each Seller Party and Purchaser are entering into this letter agreement, and the Indian Seller Subsidiary and the Indian Purchaser Subsidiary are entering into the Indian Foreign Acquisition Agreement, pursuant to Section 2.09(b) of the Acquisition Agreement to implement certain provisions of Section 2.09(a) of the Acquisition Agreement. Each Seller Party, Purchaser and Indian Purchaser Subsidiary hereby agree as follows:
Indian Employees means those persons who are engaged or employed in connection with or are employees of the Indian Business (including the Seconded Indian Employees) at the Indian Transfer Time (whether as consultant, agent, representative or otherwise) who are not European Employees, Non-European Employees, Other Employees, U.S. Employees, Company Employees or Retained Employees;
Indian Employees means each of the Additional Employees working in the Indian Business who are based in India and who are listed by hire date, job title and location on the list of Indian Employees disclosed at Disclosure Document 5.84 as such list shall be updated in accordance with Clause 8.1 (Provision of Information);

  • If ESI coverage is not available in a state, the Employees’ Compensation Act, 1923 shall be applicable for the workmen engaged by the Handling Contractor and the Handling Contractor shall be required to obtain Insurance under the Indian Employees Compensation Act, 1923, to cover all the employees including the contract Labour and submit copies of such Insurance Policies to the Executive in Charge, before commencement of work of the contract.

  • Hired Employees has the meaning set forth in Section 6.1(a).

  • Non-Employee means a consultant, adviser, service provider, Controlling Shareholder or any other person who is not an Employee.

  • Permanent Employees means all employees who are not casual employees, or employees working in a long-term supply assignment, as defined below.

  • Casual Employees means employees who are employed on a casual basis and includes persons who are employed for periods not exceeding five days at any one time.

  • Seller Employees shall have the meaning ascribed thereto in Section 7.4(a) hereof.

  • Business Employee means any Person who is a present or former employee of Seller at any time prior to or on the Closing Date, and who provided or previously provided any services relating to the Business.

  • Part-Time Employees means employees employed on a permanent basis, but obligated to work less than a full (i.e., forty-hour) work week.

  • Relevant Employees means the employees of the Contractor (including the Transferring Employees) who are wholly or mainly assigned to work in the provision of the Services and who are/will be the subject of a Relevant Transfer by virtue of the application of the TUPE Regulations.

  • Excluded Employees has the meaning set forth in Section 2.5(a)(iv).

  • Affected Employees means those employees who are exposed to the hazard(s) identified as a violation(s) in a citation.

  • Continuing Employees shall have the meaning set forth in Section 6.9(a).

  • Retained Employee does not include any individual who has a direct or an indirect ownership interest of at least five percent (5%) in the profits, equity, capital, or value of the Taxpayer, or a child, grandchild, parent, or spouse, other than a spouse who is legally separated from the individual, of any individual who has direct or indirect ownership interest of at least five percent (5%) of the profits, equity, capital or value of the Company.

  • Key Employees means each of the following individuals: Xxx Xxxxxxx, Xxxxx Xxxxxxxx, Xxxxx Xxxxxx and Xxxxx Xxxxxxx.

  • U.S. Employee means a person who is an employee of the Company (or of any Subsidiary) for purposes of section 422 of the Code.

  • Public employees retirement system means the retirement plan and program
