Transfer Time. 12:01 a.m. (local time) on the Closing Date.

Transfer Time. All Transferred Employees shall become employees of Buyer, or Buyer’s Affiliates, effective as of 11:59 EPT on the Closing Date and, except as otherwise provided herein, Buyer covenants that at such time, Buyer, or Buyer’s Affiliates, shall assume and be responsible for payment of all salaries and benefits and all other costs and liabilities relating to services provided by the Transferred Employees effective as of such time; provided that, with respect to an Employee on Leave, such obligations shall not attach until the Employee on Leave commences employment with Buyer, or Buyer’s Affiliates.
Transfer Time. All Transferred Employees shall become employees of Buyer as of 12:01 a.m., Central Time, on the Closing Date and except as otherwise provided herein, at such time, Buyer shall assume and be responsible for payment of all salaries and benefits and all other costs and liabilities relating to the Transferred Employees, except that with regard to a Non-Union Employee on Leave, such obligations shall not attach until the Non-Union Employee on Leave commences employment with Buyer.
Transfer Time. Initial placement on Schedule A shall be as follows: previous years of experience within or outside the District may be accepted at full credit. Unique situations may come up where the Human Resources office may be able to offer more years of service in critical need positions to new hires, pending consultation with the Association.

Transfer Time. All Transferred Employees shall become employees of Buyer as of the time (the “Employee Transfer Time”) that is the later of (x) 12:01 a.m. on March 31, 2008, and (y) the Effective Time, and except as otherwise provided herein, at such time, Buyer shall assume and be responsible for payment of all salaries and benefits, and all other costs and liabilities, relating to the period from and after the Employee Transfer Time relating to the Transferred Employees, except that with regard to an Employee on Leave to whom Buyer makes an employment offer, such obligations shall not attach unless and until the Employee on Leave commences employment with Buyer.
Transfer Time. (a) Subject to Closing occurring, all Transferred Employees shall become employees of Buyer or one of Buyer’s Affiliates (including the Company) effective as of the Effective Time. Buyer or such Buyer’s Affiliate shall be responsible for payment of all salaries and benefits and all other costs and liabilities relating to services provided by the Transferred Employees after the Effective Time; provided, however, that nothing in this Section 8.2(a) shall be interpreted as a commitment by Buyer or any Affiliate of Buyer to provide a certain level of salary, bonus opportunity or benefits to any Transferred Employee.

A teacher returning to the District, within five years of leaving employment with the District, will be given full credit for prior years’ experience in the District.
