Dividend Stock has the meaning set forth in the definition of Exchange Amount.

Dividend Stock means the Common Stock issued or issuable pursuant to this Agreement in payment to Tipperary for the accrued and unpaid cumulative dividends on the Preferred Stock.

Registrable Securities means any Common Stock of the Company issued or issuable in respect to the Conversion Stock and Dividend Stock, or other securities issued or issuable pursuant to the issuance of the Common Stock upon any stock split, stock dividend, recapitalization, or similar event, or any Common Stock otherwise issuable with respect to the Common Stock; provided, however, that shares of Common Stock or other securities shall only be treated as Registrable Securities if and so long as they have not been (a) sold to or through a broker or dealer or underwriter in a public distribution or a public securities transaction, or (b) sold or are available for sale in the opinion of counsel to the Company in a single transaction exempt from the registration and prospectus delivery requirements of the Securities Act so that all transfer restrictions and restrictive legends with respect thereto are or may be removed upon the consummation of such sale. The terms register, registered and registration refer to a registration effected by preparing and filing with the Commission a registration statement in compliance with the Securities Act, and the declaration or ordering of the effectiveness of such registration statement.   • Dividend Shares means the shares of Common Stock issuable in payment of dividends payable on the Preferred Shares in accordance with the terms of the Certificate of Designation.
