At the Closing, Seller shall pay and discharge all Selling Expenses and provide evidence to Buyer of such payments.
All costs and expenses incurred in connection with this Agreement and the transactions contemplated hereby shall be paid by the party hereto incurring such cost or expense, except that (i) all filing fees paid in respect of the filings under the HSR Act in connection with this Agreement and the transactions contemplated hereby shall be borne by Bxxxx and (ii) Buyer shall pay the Selling Expenses upon Closing on behalf of the Sellers.
